Job Description:

The Senior Legal Counsel will act as a primary legal partner for assigned European and international matters, taking the lead within that remit and coordinating with the global Legal team, central functions and specialist external counsel where appropriate.

The role will have a primary focus on complex commercial contracting, corporate governance and the legal integration of acquired businesses. It will require an experienced, commercially minded lawyer capable of working independently in an international and fast-moving environment.

Key accountabilities

  • Commercial contracts
  • Lead the drafting, review and negotiation of domestic and cross-border supply, procurement, services, framework and other strategic B2B agreements.
  • Advise on risk allocation, warranties, liability, indemnities, payment security, termination, claims and variations, providing clear and commercially practical recommendations.
  • Support bids, RFPs and strategic customer or supplier negotiations from initial structuring through execution and implementation.
  • Apply, localize and improve group templates, playbooks and approval processes to reflect applicable local and European legal requirements and regional commercial practices, while maintaining alignment with global contracting standards.
  • Provide strategic legal advice to senior management and internal business partners on complex legal matters, risk management and commercial strategy, with a particular focus on assigned European and international matters.
  • Corporate governance and M&A integration
  • Own day-to-day corporate legal support for assigned entities and European matters, including governance compliance, corporate approvals, board and shareholder meetings, powers of attorney, entity records and coordination of notarial and commercial-register filings.
  • Drive the legal integration of acquired businesses into Nextpower’s governance framework, policies and decision-making processes.
  • Maintain an effective corporate-housekeeping framework and advise on intercompany arrangements, internal reorganizations and entity simplification.
  • Provide legal input into European and international M&A, restructuring and integration projects, coordinating with the global Legal team and external counsel where required.
  • Employment, compliance and disputes
  • Coordinate with external employment counsel on employment-law matters and support internal stakeholders in the practical implementation of the advice received.
  • Manage assigned European and international legal disputes, coordinating with internal stakeholders and external counsel where appropriate.
  • Support the local implementation of group compliance policies, identify and escalate relevant issues, and coordinate with the central European compliance function.
  • Provide practical support on IP and patent-related matters as required, coordinating with the relevant internal stakeholders and specialist counsel.

Experience and qualifications

  • Qualified lawyer with + 8 years of relevant post-qualification experience.
  • Strong experience across commercial contracts and corporate law, gained in a reputable law firm, an international in-house legal team or a combination of both.
  • Proven ability to lead material contract negotiations independently and advise senior business stakeholders with clarity, sound judgment and a pragmatic commercial approach.
  • Practical command of entity governance, corporate approvals, commercial-register matters and coordination with notaries and external counsel.
  • Fluent German, English and Spanish, with the ability to draft, negotiate and advise confidently.
  • Experience working across jurisdictions and specialist functions within an international or matrixed organization.
  • Strong ownership, communication and stakeholder-management skills, with the ability to prioritize effectively in a fast-moving business environment.

Preferred background

  • In-house experience in renewable energy, industrial, engineering, infrastructure, manufacturing or another technology-driven business.
  • Exposure to post-acquisition integration, corporate reorganizations or the harmonization of governance and legal processes across acquired entities.
  • Experience supporting cross-border supply chains, complex B2B projects or businesses with significant operational and procurement activity.
  • Exposure to the coordination of disputes, employment, compliance or IP matters would be an advantage but is not a core requirement.
