Head of Global Regulatory Affairs and Entity Corporate Governance (12-month fixed-term maternity cover)

The Head of Global Regulatory Affairs and Entity Corporate Governance will lead the company’s regulatory strategy, ensuring compliance with all relevant regulations. This senior role focuses on managing regulatory affairs for the organization and providing strategic guidance on governance matters to support our corporate entities globally. The Head of Global Regulatory Affairs and Entity Corporate Governance will work closely with legal, risk & compliance, and operational teams to implement a regulatory framework that meets both local and international requirements while fostering best practices in corporate governance.

This is a 12-month fixed-term contract for an individual contributor.

Key Responsibilities

1. Regulatory Strategy

  • Develop and execute a comprehensive regulatory strategy that aligns with the company's business objectives and supports its global operations.
  • Monitor and interpret global regulatory changes across jurisdictions and assess their potential impact on the company, ensuring that policies and procedures remain up to date.
  • Ensure that the organization is compliant with all applicable laws, regulations, and standards, including industry-specific regulatory requirements.
  • Collaborate with internal teams to implement regulatory initiatives and ensure effective risk management practices are in place.
  • Serve as the primary liaison with regulatory authorities and lead regulatory filings, and inquiries to maintain a positive relationship with regulatory bodies worldwide.

Entity Corporate Governance

  • Continue building and overseeing the corporate governance framework, adherence to best practices, Company Law requirements, and evolving regulations (e.g., Ultimate Beneficial Ownership (UBO) requirements) for all legal entities globally.
  • Maintain an accurate and up-to-date record of all corporate entities, including organizational structures, board and shareholder information, and registration and compliance with the corporate legal requirements for each jurisdiction.  
  • Ensure the team prepares, coordinates, and maintains accuracy of corporate governance documents, including board meeting agendas, minutes, resolutions, and annual returns.
  • Oversee the company’s annual governance activities, ensuring the team accurately and timely prepares the board meeting minutes, corporate resolutions, and annual filings.
  • Support corporate initiatives related to entity management, including new entity formations, mergers, dissolutions, and reorganizations, ensuring adherence to regulatory and governance requirements.
  • Ensure the team submits of statutory filings, regulatory reports, and annual disclosures for all entities in a timely manner, overseeing ongoing corporate legal compliance requirements.
  • Ensure effcient ocoordination with local in-country counsel and service providers to manage corporate changes and regulatory filings..

Risk Management for Entity Operations

  • Identify and assess regulatory and governance risks associated with the company’s operations, and develop strategies to mitigate those risks.
  • Collaborate with the risk management function to integrate governance and compliance risks into the broader enterprise risk management framework.
  • Conduct regular risk assessments, corporate governance audits, and corporate legal compliance checks to identify gaps and recommend improvements.

Leadership and Collaboration

  • Lead, mentor, and develop a high-performing global regulatory and corporate governance team, promoting a culture of corporate legal compliance and accountability.
  • Work cross-functionally with internal stakeholders, including Legal, Operations, HR, IT, and Finance, to support a cohesive approach to regulatory compliance and corporate governance.
  • Serve as a strategic advisor to senior leadership on regulatory and corporate governance issues, including advising on new business initiatives, acquisitions, and partnerships.

Qualifications

  • Master’s degree in Law or Corporate Governance, alternatively, a degree in Business, Finance, or a related field  and a recognized corporate governance certification (e.g., CSQS, formerly ICSA)
  • Experience: 8+ years of experience in corporate governance, corporate legal compliance, global legal entity management preferably within a multinational or global organization with a high volume of subsidiaries across different regions
  • Proven experience in managing corporate legal compliance globally across multiple jurisdictions, particularly across EMEA, and an ability to navigate and differentiate between various legal systems, legal entity structures, local statutory filing obligations.

Demonstrable expertise in managing regulatory affairs, particularly with a focus on licensing. Experience with the Employer of Record (EOR) model is highly beneficial.

  • Deep knowledge of regulatory frameworks and corporate governance best practices, particularly across EMEA
  • Strong understanding of international entity management requirements and the ability to navigate multi-jurisdictional regulations, particularly across EMEA
  • Excellent organizational and project management skills, with a focus on regulatory strategy and risk mitigation.
  • Exceptional communication, presentation, and negotiation skills, with the ability to influence at all levels of the organization.
  • Strong analytical and problem-solving skills, with a proactive and strategic mindset.
  • Ability to manage multiple priorities and projects in a fast-paced environment.
