PURPOSE
Ensure all Hong Kong & Macau regulated company secretarial records (and subsidiaries) are maintained in accordance with the Hong Kong, Cayman Islands, Bermuda & Macau Companies Legislation.
This includes, but is not limited to :-
Register of Members
Register of Directors
Register of Charges
Minutes of Meetings
Annual Returns
Business Registration (where applicable)
Related statutory filings
The Job
Maintaining Sharepoint corporate governance libraries/Diligent Entities/Blueprint are up-to-date and regulatory correspondence.
Submission of regulatory filings with Hong Kong, Cayman Island and Bermuda Companies Registries, IA, SFC, MPF, AMCM etc.
Draft resolutions, circulate and ensure properly authorised.
Planning board and shareholder meetings and board training sessions.
Prepare and assist with all draft board and shareholder meeting agendas and papers and ensure proper records maintained under the Diligent Board
Attend Board/Shareholder meetings and minutes taking and drafting of minutes for all HK & Macau Board and shareholder meetings.
Planning of the HK & Macau company corporate calendar so as to comply with both statutory, regulatory and business requirements.
Handling of all KYC requests or queries and external/internal audit requests
Providing transaction support where required, including group transactions.
Other ad-hoc requirements/projects including Mergers & Acquisitions initiatives and investment related work
The Person
Relevant degree from a recognized university.
HKCGI/HKICS/ICSA member.
Minimum 10 years corporate secretarial experience with listed HK company or Financial Institutions exposure
Insurance industry experience would be advantageous
Familiarize with the applicable company laws
Good understanding of corporate governance principles and the legal issues
Fluent English & Cantonese speaking and written skills.
Excellent communication and report written skills.
Confident and highly developed interpersonal skills
Sensitive to confidentiality, corporate structure and management oversight
Ability to work independently yet exercising sound judgment on reporting to leader.
Ability to handle multiple tasks simultaneously and able to meet deadlines.
