Job Title: Corporate Lawyer — Peru
Location: Peru — Lima preferred
Type of Contract: Full-Time | Independent Contractor | Monthly Retainer
Salary Range: USD 2,200/month, negotiable based on experience
Language Requirements: Fluent Spanish and professional-level English
Our client is seeking a skilled Corporate Lawyer with strong Peruvian corporate and commercial law experience to support international clients establishing and operating entities in Peru. You will play a key role in entity formation, statutory compliance, legal representation, and ongoing corporate administration. Your work will directly impact clients’ ability to establish and maintain compliant Peruvian operations efficiently.
Key Responsibilities
- Support the incorporation of Peruvian legal entities, including S.A.C., S.R.L., and sucursales, by drafting minutas and coordinating escritura pública and SUNARP registration.
- Coordinate initial RUC registration with SUNAT, including activation of electronic filing credentials.
- Act as or coordinate the appointment of local legal representatives and manage powers of attorney, board resolutions, shareholders’ minutes, and vigencia de poderes.
- Manage ongoing corporate compliance, including corporate books, annual shareholders’ meetings, statutory records, and related filings.
- Prepare and file Declaración de Beneficiario Final submissions with SUNAT and coordinate subsequent updates.
- Coordinate registered office and domiciliation arrangements and liaise with notaries, SUNARP, SUNAT, and other government authorities.
- Communicate directly with international clients and referral partners in English regarding corporate structures, compliance timelines, documentation, employment matters, commercial contracts, dormant entities, and dissolution processes.
Must-Have Qualifications
- Law degree (Título de Abogado) from an accredited Peruvian university.
- Active registration with a Colegio de Abogados in Lima or an equivalent Peruvian jurisdiction.
- At least 3 years of experience in corporate and/or commercial law, preferably supporting foreign-owned entities or international clients.
- Strong working knowledge of the Ley General de Sociedades, SUNARP registry procedures, and SUNAT registration requirements.
- Fluent Spanish and professional-level English, both written and spoken.
- Demonstrated experience drafting incorporation documents, powers of attorney, corporate resolutions, and shareholders’ meeting minutes.
- Strong client-management and communication skills, with the ability to explain Peruvian legal and registry requirements clearly to foreign stakeholders.
Preferred Qualifications
- Experience supporting global EOR, PEO, or multi-country expansion service providers.
- Familiarity with immigration and work permit processes involving Migraciones and the Ministerio de Trabajo.
- Experience with beneficial ownership, AML/KYC, and related corporate compliance filings.
- Experience with INDECOPI trademark and intellectual property registrations.
- Experience advising international businesses on commercial contracts and corporate structuring in Peru.
