The General Counsel is responsible for overseeing all legal affairs of CLS Health and providing strategic and tactical legal guidance to the President, CEO, Board, and executive leadership. This role leads corporate legal initiatives, manages a legal department of two other attorneys, works with a Compliance Officer to ensure compliance with applicable laws and regulations, and provides comprehensive in-house legal support, focused on healthcare regulations and transactions, in addition to other matters as they arise.
The General Counsel manages the organization’s responses to audits and other government information requests, coordinates the actions of the legal department, conducts legal research, prepares legal memoranda, and advises on a variety of legal matters including contracts, employment law, healthcare regulatory laws and regulations, compliance matters, corporate governance, and strategic transactions.
Duties/Responsibilities:
- Conduct legal research, analysis, and draft legal memoranda on issues affecting CLS Health.
- Advise executives on legal matters including corporate law, employment law, compliance, contracts, partnerships, corporate finance, and strategic transactions.
- Advise executives on healthcare laws and regulations, including HIPAA, HITECH, the physician self-referral law (Stark) and the Anti-Kickback statute.
- Interpret laws, regulations, and court rulings to support organizational decision-making.
- Manage and facilitate responses to external requests for documents, fact or expert testimony, deposition testimony, reports, narratives, and medical information.
- Oversee the identification, collection, and production of responsive documents for litigation discovery, subpoenas, authorizations, and other legal requests.
- Review, draft, and negotiate contracts and other legal documents.
- Provide guidance on corporate governance and assist in implementing compliance programs, including matters such as entity management and corporate formations.
- Collaborate with internal departments to identify, reduce, and manage legal risks.
- Represent the company in legal discussions, negotiations, and disputes as needed.
- Diligently manage and budget the use of outside counsel, where appropriate.
- Ensure organizational compliance with all applicable federal and state laws and regulations.
- Maintain accurate records of legal matters, corporate documents, and related files.
- Travel to other CLS Health clinics as required.

Requirements
- Juris Doctor (J.D.) degree
- Currently licensed by the State Bar of Texas and in good standing, or able to obtain active Texas licensure prior to starting position.
- Excellent knowledge and understanding of healthcare law, and entity management equivalent to 8+ years of experience.
- Possess a strong understanding of healthcare regulations and transactions, including HIPAA, HITECH, the physician self-referral law (Stark), the Anti-Kickback statute and federal payor guidelines and regulations.
- Excellent negotiating, drafting and counseling skills, with experience resolving conflict between groups with opposing perspectives, agendas or priorities.?
