Job Summary
The Principal Contract Specialist provides a variety of general corporate and commercial support to the organization and its in-house clients. Under the supervision of the Senior Counsel, Manager, the Principal Contract Specialist supports issues involving contracts as well as state and federal law and regulations. The Principal Contract Specialist participates in the ideation phase of new products or product variations. Demonstrates experience in corporate matters of diverse scope, requiring in-depth evaluation and interpretation. Areas of application could include, but are not limited to: business law, health law, data privacy, license agreements and intellectual property, customer contracts, contracts with vendors to the Company, employment law, risk assessment, and reviewing, drafting and negotiating various agreements.
Responsibilities
- Review, draft and negotiate complex contracts or other legal documentation with customers, strategic partners, suppliers, and others who desire to contract with the Company, including, but not limited to, agreements for participation in the Company's networks for health information messaging and connectivity, data use agreements, technology licensing agreements, joint research projects, and contracts with vendors supplying services or equipment to the Company under the supervision of an attorney.
- Manage complex projects assigned on behalf of the Company's departments or market segments under the supervision of an attorney.
- Draft, maintain and update contract templates for frequent Company transaction types and custom contracts for infrequent Company transactions.
- Ensure all relevant facts and legal considerations are assembled, assessed and accurate before contracts are presented for execution as relates to all business transactions.
- Evaluate and advise appropriate legal courses of action to meet Company and business unit needs in consultation with the Senior Counsel, Manager.
- Assess and apply internal and external federal, state and industry compliance activities.
- Assess, improve, and build contract processes and workflows to increase contracting efficiencies and speed to execution.
- Demonstrate expertise in relevant Surescripts contractual procedures and practices.
- Manage electronic contracts databases (including Salesforce and DocuSign CLM) and prepare relevant contract attributes to track terms and conditions.
- Maintain records of other matters undertaken by the legal department, as directed by the Commercial Legal Team.
- Maintain detailed and organized electronic files.
- Establish and maintain turnaround times in order to assist business teams with setting customer expectations.
- Serve as legal department representative on teams to address various company-initiatives.
- Performs other duties as assigned or required by the Commercial Legal Team.
Qualifications
Basic Requirements:
- Bachelor’s degree or equivalent experience
- 8+ years of experience at a law firm or in-house - managing, drafting business contracts and negotiating them to successful conclusion
- 8+ years of experience drafting and negotiating contracts related to data rights/license agreements and other intellectual property under the supervision of an attorney
- 8+ years of experience engaging with business clients on both sides of the contract/transaction
Preferred Qualifications:
- Experience in the healthcare industry
- Knowledge of privacy and data security matters in the healthcare sector
- Experience providing legal support to an assigned product and/or service within a corporation
- Experience with Salesforce – Demonstrated experience and proficiency using Salesforce and/or a contract lifecycle management system
