Core Required Capabilities

  • Institutional RIA regulatory expertise. Demonstrates deep working knowledge of the Investment Advisers Act of 1940, SEC Rule 206(4)-7 compliance program expectations, fiduciary obligations, Form ADV requirements, books and records, code of ethics, personal trading, marketing, custody, valuation, proxy voting, best execution, and conflicts management as applied to an institutional asset management business.

  • Independent compliance oversight and credible challenge. Provides objective guidance and independent challenge to business leaders, portfolio management, trading, operations, client service, technology, risk, and legal partners. Identifies when business practices, controls, disclosures, or governance require enhancement and can support conclusions with sound regulatory analysis.

  • CCO delegate mindset with clear escalation discipline. Operates with a high degree of independence and can make well-reasoned compliance decisions within delegated authority, while keeping the CCO informed of material developments, emerging risks, regulatory matters, significant control gaps, and decisions that may require executive judgment.

  • Compliance program ownership. Owns or materially leads key elements of the RIA compliance program, including policies and procedures, annual review support, monitoring and testing coordination, regulatory change impact assessment, issue identification and remediation oversight, training, reporting, and governance materials.

  • Institutional investment adviser business fluency. Understands institutional asset management products, strategies, client types, investment guidelines, discretionary portfolio management, trade lifecycle, model and portfolio implementation processes, vendor and affiliate dependencies, and operational risks that may affect regulatory compliance.

  • Risk assessment and control effectiveness judgment. Can assess inherent and residual compliance risk, evaluate the design and operating effectiveness of controls, identify root causes, distinguish isolated exceptions from systemic issues, and recommend practical, risk-based remediation actions.

  • Regulatory exam and inquiry management. Has the judgment and organizational discipline to support or lead SEC examinations, regulatory inquiries, audit reviews, document productions, management responses, remediation plans, and regulator-facing narratives in a manner that is accurate, complete, well-controlled, and appropriately escalated.

  • Enterprise risk and bank-owned RIA awareness. Understands the heightened governance, reporting, affiliate, and reputational considerations that arise when an investment adviser operates within a bank-owned environment, including coordination across enterprise compliance, operational risk, legal, audit, technology, and business governance forums.

  • Governance, reporting, and executive communication. Produces clear, concise, and decision-useful reporting for the CCO, senior management, committees, boards, and control partners. Can translate complex regulatory issues into key risks, impacts, decisions needed, ownership, target dates, and evidence of remediation.

  • Strategic execution and prioritization. Independently prioritizes competing regulatory, business, exam, and remediation demands. Develops practical roadmaps, sequences work based on risk, and delivers high-quality results under time-sensitive conditions.

  • Professional judgment, integrity, and accountability. Demonstrates sound judgment, intellectual curiosity, discretion, courage, and a strong control mindset. Takes ownership of work product, raises concerns early, and protects the independence and credibility of the compliance function.

Expected Operating Model

  • Acts as a senior day-to-day compliance lead for the institutional RIA program under the direct supervision of the legal entity CCO’s.

  • Escalates material issues, regulatory concerns, significant control weaknesses, conflicts, policy exceptions, and reputational matters promptly and with recommended actions.

  • Maintains regular, proactive communication with the CCO, including concise updates on key risks, workstream status, unresolved decisions, and upcoming regulatory or governance deadlines.

  • Builds strong working relationships with business and control partners while maintaining appropriate independence and second-line challenge.

  • Documents decisions, rationale, approvals, issue disposition, and remediation evidence in a manner that can withstand regulatory, audit, or board review.

Job Summary:

The Senior Compliance Business Oversight Manager provides advice, support and objective guidance to assigned portfolio, business or function on development and maintenance of all aspects of Compliance/Center of Excellence programs in line with the Bank's risk philosophy and strategic direction.

Depth & Scope:

  • Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required

  • Responsible for the timely execution of the Compliance testing plan

  • Typically deals with senior/executive management in communicating Compliance testing results

  • Leverages deep industry, external/internal, enterprise knowledge, recognizing and anticipating emerging trends and; identifying operational efficiencies and opportunities with other business management/enterprise areas through testing engagements

  • Provides guidance and clarity around priorities and goals for Compliance testing program and works with managers to ensure the goals cascade to all workers

  • Guides talent identification and development processes

  • Key contact for dealing with a range of complex issues, including non-routine information

  • Manages and prioritizes the team to deliver on multiple reviews and projects at a given time

  • Identifies and leads problem resolution for project/program complex requirements related issues at all levels

Education & Experience:

  • Undergraduate degree or equivalent work experience

  • 10+ years of experience

Desired Qualifications:

  • Typically requires 10 or more years of relevant compliance, legal, audit, risk, or regulatory experience, with meaningful experience supporting registered investment advisers.

  • Prior experience with an institutional asset manager or complex bank-owned RIA is strongly preferred.

  • Experience with SEC examinations, annual compliance reviews, policies and procedures, regulatory change management, and compliance risk assessments is expected.

  • Experience leading projects, influencing senior stakeholders, and mentoring or directing compliance professionals is strongly preferred.

  • Relevant legal, compliance, securities, or investment management credentials may be additive, depending on the role scope and business needs.

Customer Accountabilities:

  • Manages teams of compliance testing specialists and/or managers in the execution of Compliance Testing engagements and validation of action plans in accordance with established standards

  • Conducts skilled analytical research and analysis as part of the testing engagement and initiatives

  • Develops, implements, tracks, and reports on Compliance testing schedules

  • Provides overall strategic direction to support the Compliance Testing Program, Procedures, and processes so that they stay current with established standards and regulatory expectations

  • Acts as a subject matter expert and strategic advisor by providing guidance on Compliance issues to management, business units, and respective teams for area of specialization

  • Reports on emerging trends, identifying risks and opportunities, and recommending action to senior management

  • Understands risk identification, risk analysis, and risk mitigation according to the regulatory requirements and best business practices

  • Supports relationships with key partners to effectively manage and clarify scope of accountabilities while influencing and aligning others as needed

  • Provides functional/business level communications to stakeholders and/or leaders that are consistent, appropriate, and aligned with strategic direction

Shareholder Accountabilities:

  • Works closely with key business leaders to develop business plan, ensuring the optimal use of resources and leverages TD’s operating model to maximize efficiency, effectiveness and scale

  • Plans and executes on strategic activities, reviews and communicates results, and adjusts tactics accordingly

  • Maintains extensive knowledge of business units and regulatory requirements/compliance issues within the Compliance area

  • Provides subject matter expertise, complex analysis and advice to business partners/team and applies knowledge in following up on outcomes, investigating and/or enforcing policy

  • Identifies and implements opportunities for continuous improvement in the Compliance Testing Program

  • Leads relationships with business lines/corporate and/or control functions to promote alignment with enterprise and/or regulatory requirements

  • Supports team and management in staying knowledgeable on emerging issues, trends, and evolving regulatory requirements and assesses potential impacts to the Bank

  • Assesses/identifies key issues and escalates to management where required

  • Supports the facilitation of action/remediation plans as a result of an internal audit and/or regulator review of Compliance Testing Program

  • Keeps abreast of emerging issues, trends, and evolving regulatory requirements and assesses potential impacts to the Bank

  • Maintains a culture of risk management and control, supported by effective processes in alignment with risk appetite
