Summary
As an Investment Director, you will take a senior leadership role in evaluating, structuring, and executing investment and M&A transactions within an Investment Firm. You will be responsible for leading complex transactions, shaping investment strategies, overseeing transaction execution, and managing senior-level relationships with clients, investors, financial institutions, and other stakeholders. The role combines investment analysis, transaction structuring, M&A execution, portfolio management, and strategic decision-making across a broad range of investment opportunities and geographies.
In addition to transaction responsibilities, the Investment Director will participate in the governance of portfolio companies, including serving as a Board Director on the boards of portfolio companies and contributing to key strategic, financial, and corporate decisions.
Responsibilities:
- Lead the evaluation, structuring, and execution of complex investment and M&A transactions.
- Develop investment strategies, transaction structures, valuation frameworks, and investment theses.
- Take overall responsibility for transaction execution from initial assessment through due diligence, negotiations, documentation, and closing.
- Lead negotiations with senior-level clients, investors, financial institutions, strategic counterparties, and advisors.
- Evaluate financial, commercial, strategic, and transaction risks and develop appropriate mitigation strategies.
- Review and challenge financial models, valuations, investment cases, due diligence findings, and key transaction assumptions.
- Lead and coordinate legal, financial, tax, technical, commercial, and other external advisors.
- Prepare and present investment recommendations, investment committee materials, transaction proposals, and strategic analyses to senior stakeholders.
- Oversee the preparation, review, negotiation, and execution of transaction documentation, including term sheets, offers, investment agreements, acquisition agreements, financing documentation, shareholder agreements, and other relevant legal and transaction documents.
- Manage transaction teams and oversee the work of Vice Presidents, Associates, and Analysts.
- Provide strategic direction and ensure high-quality execution across multiple transactions.
- Monitor the performance and strategic development of portfolio companies.
- Participate as a Board Director on the boards of portfolio companies, contributing to strategic, financial, governance, and corporate decisions.
- Review portfolio company performance, business plans, budgets, financing requirements, and strategic initiatives.
- Work closely with management teams of portfolio companies and other shareholders on key strategic matters.
- Contribute to investment decisions, portfolio strategy, capital allocation, and risk management.
- Represent the Investment Firm in discussions with senior external stakeholders and counterparties.
Requirements:
- Bachelor's or Master's degree in Finance, Economics, Business, or a related field.
- CFA qualification or progress toward CFA is considered an advantage.
- 10+ years of relevant experience in investment banking, private equity, investment management, M&A, corporate finance, transaction advisory, or a related field.
- Proven track record of leading and executing complex investment, M&A, financing, or strategic transactions.
- Strong expertise in reviewing financial models, valuations, investment cases, due diligence, transaction structuring, and investment analysis.
- Extensive experience managing transaction processes and leading multidisciplinary teams.
- Strong understanding of transaction documentation and ability to lead negotiations on key commercial and financial terms.
- Demonstrated experience working with senior-level clients, investors, financial institutions, shareholders, and management teams.
- Experience with portfolio company oversight and corporate governance is strongly preferred.
- Previous experience serving on a Board of Directors / Supervisory Board is an advantage.
- Strong strategic and commercial judgment, with the ability to evaluate complex investment opportunities and make informed decisions.
- Excellent leadership, negotiation, communication, and stakeholder-management skills.
- Fluency in Russian and English is essential; additional languages are an advantage.
