Vice President, Associate General Counsel, Commercial Legal will play a critical role in scaling and leading Okta’s global commercial legal team and serve as a key member of the Okta Legal Department Leadership Team. As the head of commercial legal you will partner cross functionally and work closely with our world-class go-to-market organization in leading the team in structuring complex commercial transactions, including via Okta’s strategic channel, for customers in all segments including financial services, healthcare, and public sector. You will be responsible for scaling the commercial legal team as well as the Legal Department. This is a strategic leadership position with high executive visibility and excellent opportunities for career growth at one of the most dynamic publicly-traded technology companies. The position will be based in Okta’s downtown San Francisco office and will report to the Chief Legal Officer. Candidates outside of San Francisco with a willingness to travel as needed will also be considered.
What you’ll be doing
- Lead, develop, coach and mentor Okta’s global team of high-performing commercial attorneys and legal professionals
- Serve as a point of escalation to provide executive-level negotiating expertise and guidance on SaaS master subscription agreements, AI commercial matters, professional services agreements, reseller and distributor agreements, managed service provider agreements, vendor agreements and other types of enterprise commercial agreements
- Ensure that the delivery of legal services to Okta is within the letter and spirit of the law, appropriately balances risks and opportunities, and is customer oriented
- Evolve the delivery of legal services to Okta’s go to market team to be a data driven first organization, delivering scaled, efficient and calibrated legal advice, counsel and guidance
- Position the commercial legal team and Legal Department to be a leader in AI Agentic commercial legal terms and approaches
- Help build a world-class public sector commercial legal program and team
- Provide the business feedback on the needs of customers in all aspects of the commercial relationship, including security, privacy, data usage and AI-related matters
- Develop and collaboratively implement an innovative strategy to scale and increase efficiency of delivering commercial legal support to Okta’s business
- Be an active and trusted legal leader and partner within the legal team and with GTM, finance, deal desk, IT, security, procurement and other teams across the business
- Partner with and help evolve our Legal Ops team to increase use of automation and reliance on data analytics to streamline the deal process and establish scalable contracting standards globally
- Create and implement policies, practices and consistent guidance for the commercial legal team including training, guides and playbooks aligned with Okta’s risk tolerance
- Play an active role in owning and driving commercial legal team’s organizational planning, budgeting and tracking
- Ability to support a global team including regular and ongoing travel to ensure the commercial legal team and go to market team is operating effectively and efficiently
What you’ll bring to the role
- 15+ years of relevant experience as a practicing attorney, negotiating and drafting enterprise-level SaaS agreements including 7+ years of in-house experience with a proven track record of building and managing legal teams
- Ability to translate complex global legal issues and ambiguity into clear and simple guidance, to communicate effectively with non-legal internal colleagues, and to support and inspire innovation across the business
- Deep experience leading, developing and scaling teams focused on efficiently delivering practical business-oriented results and scalable processes
- Familiarity with deal structures for selling to regulated entities and in foreign jurisdictions
- Demonstrated experience as a strong collaborator and communicator with business and legal teams
- Understanding of the quarterly business model and ability to work with a sense of urgency while prioritizing competing interests
- Experience building and scaling teams at a publicly traded company
- Highly-responsive and service-oriented attitude
- Ability to maintain strong working relationships with a variety of internal clients
- Strong executive presence with excellent and concise written/verbal communication
- Team-oriented and with a sense of humor and humility
- Operate with the highest levels of integrity
- JD from an accredited law school and be a member in good standing of at least one state Bar (preferably in California)

Below is the annual base salary range for candidates located in San Francisco Bay Area. Your actual base salary will depend on factors such as your skills, qualifications, experience, and work location.
