What the Hiring Manager says…
We are looking for an ambitious and driven lawyer to work in an eight-person team that is responsible for fund legal matters across a wide range of strategies on a global basis. The candidate will take primary responsibility for the structuring, negotiation and closing of investors into ICG’s CLOs, open-ended liquid credit funds and similar vehicles, and will have opportunities to work with others in the team on other funds.
This is a great opportunity for a CLO specialist with at least 5 years’ of experience in a leading private practice team and/or asset manger or bank to work in a fast-growing firm across multiple asset classes and jurisdictions.
You will also be involved in associated matters, involving a deep level of interaction across a wide range of stakeholders across ICG.
Primary Responsibilities
The responsibilities of the role include, but are not limited to:
- Advising on CLO formations in conjunction with the internal tax team and external counsel, taking the lead on CLOs, liquid credit funds and related mandates and acting in in support of more senior team members on other matters.
- Managing external counsel and the delivery of key documentation including the offering circular, trust deed, collateral management agreement, prospectuses and other contractual arrangements ahead of a CLO or fund launch and then leading negotiations over side letters and closing investors throughout fundraise periods.
- Contributing to the product approval processes and drafting of PPMs.
- Acting as an internal point of contact for Marketing & Client Relations staff and portfolio managers.
- Acting as a general point of contact for inbound questions from across the firm on particular strategies.
- Working closely with the Fund Operations team (including to ensure overlapping matters are adequately captured).
- Become a trusted contact and advisor for internal teams.
Key Requirements/ Qualifications
- Qualified structured finance lawyer with at least 5 years’* PQE.
- Post-qualification experience with a major law firm in a structure finance team.
- Experience of liquid credit funds is preferable but not mandatory (training will be provided).
- Experience in working within an international team would be a plus.
- Prior experience of in-house work would be of interest, although not essential.
- Strong interpersonal skills.
