About the role

What you need to know:

• Provide Oversight of the entire UK M&A team, and direct management of senior members of the M&A team. Leading the UK M&A underwriting team on a variety of transactional insurance solutions, including representations and warranties insurance and contingent liability insurance.
• Act as the senior UK point of contact for clients, brokers and other deal professionals.
• Act as a final referral point for the underwriting team for transactions being underwritten in the UK, before deals need to be escalated to the Global Head of M&A.
• Work with UK Financial Lines management team, and the Global Head of M&A to implement broader FL and M&A strategies.
• Accountable for the recruitment and training of senior members of the M&A underwriting team.
• Work with the Global Head of M&A and legal on new product ideas, and significant enhancements to policy wordings and coverages.
• Be the first point of contact with the M&A Claims team in the UK and ensure that teams are working in conjunction with each other, and that claims lessons are being passed on to underwriters.
• Drive business strategy, growth and distribution through detailed analysis of data.
• Participate in the external marketing / business development opportunities to promote M&A insurance at AIG.
• Grow the UK team in accordance with the demands of the business and ensure the right org design is in place to support the business to optimize efficiency.
• Ensure compliance with AIG policies and procedures.

• Ability to work with other parts of the AIG organization outside M&A to ensure integration of M&A into broader Financial Lines group.
• Strong written and oral communication skills.
• Ability to manage and coach members of the team.
• Detailed understanding of complex corporate structuring and financing arrangements.
• Ability to negotiate with commercially and legally sophisticated advisors and clients.
• Highly focused, enthusiastic, and creative thinker.
• Strong interpersonal skills and ability to collaboratively work on a global basis.
• Ability to understand and execute commercial decision making against a backdrop of legal risk assessment.

Technical Skills & Experience

• Ability to manage challenging workloads, and to prioritize competing needs on time.
• Ability to multitask, and to be decisive on technical underwriting points.
• High competency in understanding complex corporate M&A transactions and drafting transaction documents.
• Ability to offer strategic advice on underwriting transactions and how to deal with difficult situations.
• Strong negotiating skills.
• Specific knowledge of transactional legal exposures (warranty breaches, tax structuring issues, litigation and computation and measure of damages).
• Competency in external speaking, including to the media.
• 5 or more years’ experience in M&A legal, corporate finance or other relevant business.
• Previous management experience required – ideally in M&A insurance.
