Description

Overview

LMI is seeking a business-minded, technology-focused, government contracts attorney to join its small, dynamic Law Department. This role offers the opportunity to help shape how LMI develops, protects, and brings technology solutions to the federal marketplace.

Reporting directly to LMI’s General Counsel, the Associate General Counsel, Technology will serve as the primary legal advisor to the Chief Technology Officer (CTO) organization. You will work closely with technology and business leaders on product development, commercialization, and strategic transactions, translating complex legal issues into practical advice that supports growth and our federal clients’ most critical missions.

This is a full-time, primarily on-site position based in Tysons, Virginia. Hybrid or fully remote arrangements will be considered for exceptionally qualified candidates.

LMI is a new breed of digital solutions provider dedicated to accelerating government impact with innovation and speed. Investing in technology and prototypes ahead of need, LMI brings commercial-grade platforms and mission-ready AI to federal agencies at commercial speed.

Leveraging our mission-ready technology and solutions, proven expertise in federal deployment, and strategic relationships, we enhance outcomes for the government, efficiently and effectively. With a focus on agility and collaboration, LMI serves the defense, space, healthcare, and energy sectors—helping agencies navigate complexity and outpace change. Headquartered in Tysons, Virginia, LMI is committed to delivering impactful results that strengthen missions and drive lasting value.

Responsibilities

  • Partner with the General Counsel and CTO to develop legal strategies that support emerging business needs, technology investment, and commercialization.
  • Serve as a trusted advisor to senior leadership, providing clear, practical recommendations on legal and compliance risks and paths to achieve business objectives.
  • Partner with product, engineering, sales, and contracts teams throughout the technology lifecycle, from development and launch through customer contracting and ongoing delivery.
  • Advise on intellectual property ownership, protection, and licensing, including government rights in technical data and software, rights assertions, and restrictive markings under the FAR and DFARS.
  • Advise on legal requirements affecting technology offerings, including privacy, cybersecurity, supply chain, and pricing; partner with technical and compliance teams on requirements such as FedRAMP and CMMC.
  • Lead the drafting and negotiation of commercial and government technology agreements, including SaaS, software and hardware licenses, development agreements, nondisclosure agreements, and channel partner and reseller arrangements; advise on IP rights, warranties, indemnification, and liability allocation.
  • Monitor legal and regulatory developments affecting federal procurement of emerging technology and translate them into actionable guidance, policies, and contracting practices.
  • Develop practical agreement templates, negotiation playbooks, and training that help teams move efficiently while managing legal risk and protecting LMI’s technology.
  • Advise on federal customers’ acquisition and licensing requirements, commercial product and service contracting, subcontracting and flow-down obligations, and organizational conflicts of interest affecting technology opportunities.
  • Support M&A transactions by leading technology and intellectual property due diligence, advising on transaction terms and risks, and partnering with cross-functional teams on integration planning and execution.
  • Conduct internal investigations and support disputes, litigation, and other general legal matters as assigned by the General Counsel; coordinate with outside counsel as needed.

Qualifications

Required Qualifications

  • Juris Doctor from an accredited law school and membership in good standing in at least one U.S. state bar or the District of Columbia, with eligibility to practice as in-house counsel in Virginia.
  • At least seven years of relevant law firm or in-house experience.
  • Experience advising on and negotiating commercial and government contracts, including agreements with technology partners and federal customers.
  • Demonstrated ability to independently draft and negotiate technology and intellectual property agreements and assess contractual risk.
  • Experience advising on technology product development and commercialization, including software licensing, SaaS, or hardware, together with experience addressing intellectual property or data rights in government contracting.
  • Strong understanding of federal contracting laws and regulations, including the FAR and DFARS.
  • Working knowledge of cybersecurity requirements relevant to federal technology offerings, such as FedRAMP and CMMC, and the ability to partner with technical specialists on implementation.
  • Excellent judgment, writing, and communication skills, with the ability to explain complex issues clearly and build trusted relationships with technical and business leaders.
  • Ability to independently manage multiple priorities, exercise sound judgment on escalation, and deliver timely, practical advice in a changing business environment.
  • U.S. citizenship and the ability and willingness to obtain and maintain a Top Secret security clearance.

Preferred Qualifications

  • Experience with emerging technologies such as artificial intelligence and machine learning, cloud computing, cybersecurity, sensors, or autonomy.
  • Prior experience supporting a fast-paced, growth-oriented technology business or product organization.
  • An active Secret or Top Secret security clearance.
  • Experience in ethics, compliance, governance, or privacy.
  • Experience supporting technology or intellectual property due diligence and integration in M&A transactions.
