The Assistant Company Secretary supports the Group General Counsel and corporate governance function in administering Board and committee governance, the corporate governance framework, Australian Securities Exchange/NASDAQ/Securities and Exchange Commission coordination, shareholder services, subsidiary governance, and the effective operation of governance processes for Telix's dual-listed public company environment. The role coordinates Governance Specialists across Australia and the United States to deliver high-quality governance execution.

Key Accountabilities:

  • Support the annual Board and Committee program, including coordinating agendas, board papers, minutes, resolutions, director induction, board evaluation logistics, and governance administration.
  • Assist the Head of Corporate Governance and the Group General Counsel in advising the Board, Chair, Chief Executive Officer, Chief Financial Officer, and senior leadership on corporate governance matters, directors' duties, and governance best practices.
  • Help maintain and continuously improve the corporate governance framework, including Board/committee charters, delegation authorities, policies, and governance guidelines.
  • Coordinate Australian Securities Exchange compliance, Australian Securities and Investments Commission (ASIC) filings, continuous disclosure, listing rule calendars, securities dealing policies, directors' interests, Annual General Meeting preparation, proxy/shareholder materials, and share registry/depositary relationships.
  • Coordinate with United States securities counsel (Senior Counsel, Corporate Affairs & Securities) on NASDAQ foreign private issuer obligations, Securities and Exchange Commission filings, and United States governance requirements.
  • Coordinate Governance Specialists across Australia and the United States, and liaise with external governance advisers and subsidiary governance providers under the direction of the Group General Counsel.
  • Support subsidiary governance, entity management across jurisdictions, and governance of joint ventures and related entities.

Position Requirements

Education and Experience:

  • 10+ years of company secretarial, corporate governance, or corporate legal function experience in a listed company
  • Governance qualification such as Governance Institute of Australia/Chartered Governance Professional, ACIS/FCIS, Australian Institute of Company Directors, law degree, or equivalent strongly preferred.
  • Dual-listed Australian Securities Exchange/NASDAQ or cross-border listed company experience strongly
  • Experience in a regulated, global pharmaceutical, biotechnology, medical device, or healthcare environment
  • Deep knowledge of Australian Securities Exchange Listing Rules, Corporations Act 2001, and familiarity with United States Securities and Exchange Commission/NASDAQ governance requirements.
