Lyten is seeking to hire its first Commercial Counsel to be the lead attorney for the company's commercial contracting function across all of its product groups, including battery, concrete, composites, and sensors. This role will draft, negotiate, and manage the full range of commercial agreements supporting some of Lyten's domestic and international operations.

The successful candidate will work closely with Sales, Procurement, Product, and Engineering to move deals forward efficiently while protecting the company's legal and commercial interests.

Key Responsibilities

  • Serve as primary commercial counsel advising on contract risk, liability, indemnification, warranty, IP, and termination provisions across customer-facing, enterprise, and OEM agreements.
  • Draft, review and negotiate a high volume of commercial agreements, including supply, distribution/reseller, manufacturing/services, purchase orders and vendor contracts.
  • Provide practical, business-oriented legal guidance that enables deal velocity while maintaining appropriate risk controls.
  • Build out contract templates, playbooks, clause libraries, and workflows, in coordination with paralegal and operations team; drive continuous improvement of the contracting process.
  • Advise on export control, trade compliance, and data protection issues arising in commercial agreements, escalating specialized questions to outside counsel as needed.
  • Support M&A workstreams as needed.
  • Lean into legal matters outside core commercial scope as needed to support the broader legal team given its lean size.

Required Qualifications

  • J.D. and active license to practice law in the jurisdiction where the candidate resides.
  • Minimum 7 years of legal experience, with time spent on commercial transactions in the technology sector, ideally spanning both in-house and law firms; start-up or high-growth company experience is a plus.
  • Excellent drafting, redlining, negotiation, and issue-spotting skills, with the ability to manage multiple contracts and stakeholders at once while keeping deals moving and communicating clearly to non-lawyers.
  • Low ego, high accountability, and comfort operating independently in a lean, fast-moving legal function with evolving process and reporting lines.
  • Sound business judgment and the ability to distinguish legal issues from commercial issues, communicating risk clearly and practically without over-lawyering.
  • Comfort with contract lifecycle activities beyond negotiation, including intake, routing, approvals, signature tracking, repository hygiene, and contract status management.
  • Comfort using and implementing AI tools across the contracting lifecycle.

Preferred Qualifications

  • Prior experience supporting both U.S. and EU commercial transactions, with comfort navigating cross-border transactions and a strong awareness of key jurisdictional differences.
  • Experience with battery, materials science, hardware, or industrial manufacturing companies.
  • Experience with export control (EAR/ITAR) issues as they intersect with commercial contracting.
  • Experience with a CLM platform (e.g., Ironclad) and building contract playbooks, templates, or clause libraries.
  • Experience with using AI-assisted tools for contract drafting, review, and research support.
  • Prior in-house legal experience at a rapidly scaling, growth-stage technology, energy, or industrial co.

Special Note

  • U.S. citizenship required. This position requires access to technology and technical data subject to U.S. export control laws, including the International Traffic in Arms Regulations (ITAR, 22 C.F.R. Parts 120-130) and/or the Export Administration Regulations (EAR, 15 C.F.R. Parts 730-774). Accordingly, applicants must be U.S. citizens. This requirement is imposed pursuant to applicable federal export control law and is permitted under the citizenship-based hiring exceptions recognized in Cal. Gov. Code § 12940 and 8 U.S.C. § 1324b(a)(2)(C).

Compensations Range:

The expected base salary range for this position is between

$170,700.00 - $256,100.00

The level of pay within the range will depend on a variety of job-related factors that may include location, relevant prior experience and/or education, or particular skills and expertise.

This compensation and benefits information is based on Lyten’s estimate as of the date of publication and may be modified in the future. We generally do not negotiate on salary once we have made an offer.  The level of pay within the range will depend on a variety of job-related factors that may include location, relevant prior experience and/or education, or particular skills and expertise. New hires joining the company tend to be paid within the starting base pay range noted above, with opportunities to increase pay over time based on development of additional skills, competencies, and company-specific knowledge.

In addition to base pay this position is eligible for tier based bonus and equity, healthcare, dental, vision, corporate discounts, paid holidays, PTO and sick time, 401K, employee relocation plan (if applicable)
