Description
Key responsibilities
- Draft, review, revise and negotiate commercial contracts, agreements and other legal documents
- Manage corporate governance and company-secretarial matters, including statutory records and filings, board and shareholder meetings, and corporate changes
- Support corporate transactions and complex legal matters, including restructuring, mergers and acquisitions, project finance, disputes and litigation, coordinating with external counsel as required
- Identify and assess legal risks, recommend pragmatic solutions, and maintain accurate legal, corporate, license and compliance records
- Monitor legal and regulatory developments, evaluate their business impact, and communicate required actions to management and relevant teams
- Liaise with government authorities, regulators, external counsel and group entities on legal and compliance matters
- Advise on licenses, registrations and incentives, including BOI, FBC/FBL, energy business licenses, renewable energy attributes and carbon credits
- Prepare legal and compliance reports, deliver training, and perform other duties assigned by management
