The Manager, Corporate Governance Paralegal is an experienced legal professional who provides high-level support for the Company’s public company governance, Board and committee administration, securities compliance, and domestic and international subsidiary management activities. Working with limited supervision, this role manages recurring governance processes, coordinates complex and time-sensitive workstreams, maintains accurate corporate records, and serves as a key liaison among Legal, senior management, Finance, Tax, Treasury, Investor Relations, Human Resources, external counsel, registered agents, and other service providers. The Manager also helps develop scalable procedures, technology solutions, and controls that promote timely, accurate, and consistent execution of the corporate governance functionAlso likely to support other workstreams within the Corporate Legal Affairs group, including across litigation, public policy, and human resource.  May be involved in helping others develop guidelines, policies or procedures and would have some authority to deviate from existing policies and proceduresMay provide recommendations, guidance and training on more advanced subject-matter to various levels of employees. 

Key Responsibilities 

Subsidiary Management  

  • Manage governance and compliance activities for a portfolio of domestic and international subsidiaries and other legal entities. 
  • Prepare and coordinate organizational documents, Board and shareholder actions, officer and director appointments, annual meeting materials, powers of attorney, certificates, incumbency documents, and related records. 
  • Maintain entity minute books, ownership records, organizational charts, officer and director rosters, registered-office information, and other corporate data. 
  • Administer the legal entity management system and promote data integrity through regular audits, reconciliations, standardized naming conventions, and documented controls. 
  • Track annual reports, franchise and similar filings, licenses, good-standing requirements, and other recurring statutory obligations, coordinating with local teams, registered agents, and external counsel. 
  • Support entity formations, qualifications, reorganizations, mergers, conversions, dissolutions, name changes, capital actions, and intercompany transactions. 
  • Coordinate document execution, notarization, legalization, apostille, certification, and filing requirements across jurisdictions. 
  • Provide corporate records and governance support for financings, audits, tax matters, regulatory examinations, due diligence, and strategic transactions. 
  • Identify opportunities to simplify and automate recurring processes and enhance the effective use of Board portals, entity management systems, filing platforms, electronic signature tools, and document repositories. 
  • Manage vendor relationships, invoices, budgets, and service performance within assigned areas. 

General Corporate Governance Support  

  • Assist with managing annual and recurring governance calendars for the Board of Directors and its committees and the Boards of Directors for regulated subsidiaries, including meeting schedules, approvals, deliverables, and filing deadlines. 
  • Assist with coordination of Board and committee meeting processes and logistics, including preparation and distribution of agendas, materials, resolutions, written consents, minutes, and action-item trackers, and hotel, transportation, dinner, and other meeting logistics. 
  • Support maintenance of official Board and committee records, governance policies, committee charters, director and officer information, delegations of authority, and related corporate records. 
  • Support director onboarding, orientation, continuing education, evaluations, independence reviews, and annual director and officer questionnaires. 
  • Assist with the annual meeting of stockholders, including planning, documentation, meeting logistics, voting materials, and maintenance of the official record. 
  • Assist with compliance with applicable securities laws and stock exchange requirements and monitor developments affecting public company governance practices. 
  • Assist with the preparation, review, coordination, and filing of periodic and current reports, proxy materials, registration statements, and Section 16 reports, as assigned. 
  • Maintain the corporate governance section of the Company’s external website and support governance-related disclosures and records retention. 
  • Handle sensitive and privileged information with discretion and exercise sound judgment in interactions with directors, executives, and other stakeholders. 
  • Perform other corporate governance, securities, and legal department responsibilities as assigned. 

 

Basic Qualifications  

  • 8+ years of corporate paralegal or corporate governance experience, including meaningful experience supporting a U.S. public company. 
  • Bachelor’s degree and/or an ABA-approved paralegal certificate
  • Demonstrated experience with Board and committee administration, corporate records, and legal entity management.
  • Working knowledge of public company governance practices, Delaware corporate law concepts, SEC reporting processes, Section 16 requirements, and applicable NYSE or Nasdaq standards. 
  • Experience with Board portals, entity management systems, SEC filing platforms, electronic signature tools, and Microsoft applications. 
  • Prior experience leading projects, coordinating work, mentoring colleagues, or overseeing service providers.

Preferred:

  • Experience supporting a global subsidiary portfolio is strongly preferred. 
  • Direct people-management experience is preferred.

  • Strong collaboration and stakeholder-management skills across functions, geographies, and levels of seniority. 
  • Analytical and process-oriented mindset, with a focus on controls, consistency, efficiency, and continuous improvement.

Salary 

The base salary range is $103,000 – $137,000.00 per year, total on target compensation includes a base salary plus annual incentives that align with individual and company performance. Actual salaries will vary based on candidates’ qualifications, skills, and competencies.
