Tax Counsel

Location: New York, NY
Compensation: $450,000 to $600,000 

 

We are seeking a highly skilled Tax Counsel to join our distinguished Tax Practice Group. This is an excellent opportunity for an experienced attorney to play a critical role in advising clients on complex transactional tax matters in a collaborative and dynamic environment.

 

• Provide sophisticated tax advice on a wide range of transactional matters, including leveraged finance and capital markets transactions.
• Collaborate with clients, investment bankers, and other legal teams to structure transactions that maximize tax efficiencies while aligning with business objectives.
• Advise on taxable and tax-free mergers and acquisitions, debt and equity financings, corporate reorganizations, and other strategic transactions.
• Research and analyze complex tax issues, providing practical and innovative solutions to clients.
• Draft and review tax-related transaction documents, ensuring compliance with applicable laws and regulations.
• Represent clients in interactions with tax authorities, including requesting formal guidance from the IRS.

Qualifications

• Juris Doctor (JD) from a top-tier law school with a strong academic background.
• Admission to the New York Bar is required.
• Substantial experience in transactional tax work, with meaningful exposure to leveraged finance and capital markets transactions.
• Exceptional oral and written communication skills, with the ability to convey complex concepts clearly and effectively.
• Strong analytical and problem-solving skills, with meticulous attention to detail.
• Ability to manage multiple priorities and work effectively in a fast-paced environment.
• Demonstrated commitment to providing exceptional client service.
