About Your Company
A boutique venture fund and listed-company operating platform is hiring a remote or hybrid General Counsel (reporting directly to the Partners) to serve as its sole in-house legal lead. The role manages a dual-focused model: a Cayman-registered venture fund platform and an operating business acting as a strategic board-level partner to publicly traded corporate Bitcoin treasury companies across Asia-Pacific and the US.
About your role
Fund Operations & Formation: Oversee Cayman Islands fund vehicles (structuring, SAFEs, LP side letters, regulatory filings, and administrator coordination) and manage venture investment documentation across global deals.
Public Company & Board Oversight: Protect the firm’s interests in board-level strategy, PIPEs, and treasury integrations for listed companies. Enforce strict disclosure discipline, manage Material Non-Public Information (MNPI), and maintain info barriers across exchanges (including NASDAQ).
Corporate & Regulatory Governance: Supervise internal entity management across primary operational jurisdictions, monitor evolving digital asset regulations, and draft operational agreements (NDAs, vendor, employment, AI policies).
Outside Counsel Management: Scrape, scope, and direct external counsel across multiple regions using a dedicated legal budget; build scalable internal templates to streamline routine transactions.
What you will need to succeed
Experience: 8–15 years of corporate, transactional, or funds law, with significant in-house or business-adjacent experience.
Bar Admission: Qualified lawyer admitted in at least one key market (US, Cayman Islands, Hong Kong, Taiwan, South Korea, or Thailand).
Domain Expertise: Direct familiarity with Cayman fund structures, cross-border venture deals, and core public company governance/listing mechanics.
Working Requirements: Full fluency in English (Mandarin is a plus). Must operate strictly on Asia/Taipei business hours regardless of location.
