Job Description:
The role offers exposure to a broad range of financing, fixed income derivatives and capital markets products, including secured lending, special situations investments, structured notes transactions and SPV debt issuance platforms. With other team members, provide legal representation predominantly to the Asia Special Situations business, the Structuring and Client Solutions teams in Japan, Hong Kong and Singapore, Asia FX Sales and Trading, and Asia Rates Sales.
Responsibilities:
- Advise on secured lending and other structured financing transactions across Asia-Pacific, likely in a special situations context.
- Support the structuring, negotiation and execution of complex financing transactions, including those involving distressed, event-driven and opportunistic investment strategies.
- Provide legal advice in relation to debt issuance transactions, including structured notes, credit-linked products, repackagings and other funding or risk-transfer structures issued through SPV or issuer programmes.
- Partner with business teams to develop, launch and support new products and transaction structures while identifying and managing legal, regulatory and reputational risks.
- Provide legal advice to Asia Fixed Income Sales and Trading businesses on a broad range of trading, documentation, technology, platform and client solutions initiatives.
- Over time, support facility-linked hedging transactions, deal-contingent hedges, total return swaps and related risk-management products.
- Advise on applicable legal and regulatory developments affecting financing, derivatives, structured products and capital markets activities in Asia.
- Coordinate with external counsel, internal control partners and business stakeholders in connection with transaction structuring, negotiation and execution.
- Contribute to strategic initiatives, product development and cross-business projects across the Asia Fixed Income platform.
Required Skills:
- We are looking for a versatile financing lawyer with a strong secured lending, leveraged finance, structured financing or other financing transactions background and preferably experience supporting special situations transactions.
- Experience advising on structured products or securitized fixed income derivatives is beneficial but not required, provided the candidate is adaptable and willing to develop expertise in these areas.
- Around 5-10 years of post-qualification experience at a leading law firm, financial institution or comparable organization is desirable.
- Demonstrated ability to manage complex transactions and deliver practical, risk-based legal advice in a fast-paced environment.
- Strong drafting, negotiation and stakeholder management skills.
- Intellectual curiosity and willingness to learn new products, regulatory frameworks and business lines.
- Experience working across multiple jurisdictions in Asia Pacific is advantageous.
- Ideally based in Hong Kong, but flexible across the key Asia Pacific financial centers.
