As Counsel Group Governance Legal, you'll be accountable for providing legal and corporate governance counsel and support across the global portfolio of Sandoz subsidiaries, with a particular focus on statutory corporate governance, subsidiary boards, governance structures and governance effectiveness. You'll serve as a trusted governance advisor to affiliates, local Legal teams and internal stakeholders, ensuring governance requirements are implemented consistently, and that board and legal entity governance arrangements remain effective, appropriate and aligned with Group standards. Additionally, you'll support and help shape corporate governance frameworks, governance assurance activities and governance best practices across the organization, driving strong governance standards and continuous governance improvement.

 

Your responsibilities will include:

• Serve as the primary point of contact for corporate governance requests from Sandoz affiliates, providing guidance, coordinating approvals and driving matters through to resolution. 

• Support, maintain and further develop the global subsidiary governance framework across the Sandoz Group. 

• Manage and advise on subsidiary governance matters, including board and director appointments, removals, governance approvals, exceptions, information requests, board composition, governance structures and other legal entity governance matters, providing practical and risk-based recommendations to affiliates and stakeholders, and develop related guidance, tools, training materials and stakeholder communications. 
• Engage and coordinate external counsel support and other legal service providers.

• Lead governance oversight, assurance and monitoring activities relating to subsidiary governance requirements, including reviews, certifications, risk assessments, follow-up of remediation actions, and identification of recurring issues and improvement opportunities. 

• Coordinate related ownership, UBO and due diligence requests concerning Sandoz legal entities. 

• Monitor developments, trends and emerging practices relating to subsidiary governance and contribute to the continuous enhancement of governance standards, controls, guidance and governance effectiveness across the Sandoz Group. 

• Contribute to selected legal entity management, corporate restructuring and other related projects and initiatives. 

 

What you need to bring to the role: 

• Law degree and relevant legal qualification. 

• +5 years of experience in corporate governance, corporate law, company secretarial, legal entity management or a comparable governance-related function. 

• Strong understanding of corporate governance principles, subsidiary governance and board governance in an international environment. 

• Demonstrated ability to independently manage complex governance matters, exercise sound judgement and provide recommendations to senior stakeholders. 

• Strong analytical, organizational and communication skills, with a pragmatic and solution-oriented working style. 

• Fluent English is mandatory. Additional languages are an advantage.

Sandoz compensation is determined by job level, qualifications, niche skills, experience, and location within company salary ranges. Fully proficient and highly effective employees can expect a starting salary around market median, with those new to the level or with less functional depth at the lower end of the range and those with sustained superior or niche skills towards the higher end of the range. Internal equity and external market data inform our range placement. Annual salary reviews consider performance outcomes, market alignment, and business needs.
