Our client is seeking a skilled Corporate Lawyer with strong experience in Colombian corporate and commercial law to join their growing team. You will play a key role in supporting international clients with entity formation, statutory compliance, legal representation, and ongoing corporate governance requirements in Colombia. Your work will directly impact clients' successful market entry, regulatory compliance, and long-term business operations.

Key Responsibilities

• Support the incorporation of Colombian legal entities (S.A.S.), including preparing and filing incorporation documents with the Cámara de Comercio.
• Coordinate tax registrations, including RUT registration with DIAN, and manage related statutory registrations.
• Act as or coordinate the appointment of the Legal Representative (Representante Legal) for client entities as required under Colombian law.
• Draft, review, and manage powers of attorney, shareholder resolutions, board resolutions, and other corporate governance documents.
• Oversee annual corporate compliance obligations, including corporate books, annual shareholders' meetings, certificates of good standing, and other statutory filings.
• Coordinate Ultimate Beneficial Owner (RUB/UBO) registrations and updates in accordance with Colombian regulations.
• Serve as a primary legal contact for international clients and referral partners, communicating corporate law requirements, compliance timelines, and documentation in English.
• Provide legal guidance on employment law, commercial contracts, and corporate structuring matters related to foreign-owned entities operating in Colombia.
• Liaise with the Cámara de Comercio, DIAN, and other regulatory authorities to facilitate entity formation and ongoing compliance.
• Review and support commercial agreements and legal documentation for international businesses operating in Colombia.

Must-Have Qualifications

• Law degree (Título de Abogado) from an accredited Colombian university.
• Active license to practice law in Colombia (Tarjeta Profesional).
• Minimum of 3 years of experience in corporate or commercial law, preferably supporting foreign-owned entities or international clients.
• Strong knowledge of Colombian corporate law, including S.A.S. structures, DIAN procedures, tax registration, and Cámara de Comercio requirements.
• Experience drafting incorporation documents, powers of attorney, shareholder resolutions, board resolutions, and corporate governance documentation.
• Fluent Spanish and professional-level English with excellent written and verbal communication skills.
• Ability to manage multiple client engagements while maintaining strong attention to detail and regulatory accuracy.
• Strong client-facing skills with experience explaining legal and compliance requirements to international stakeholders.

Preferred Qualifications

• Experience supporting Employer of Record (EOR), Professional Employer Organization (PEO), or global expansion service providers.
• Familiarity with cross-border corporate structuring and international business transactions.
• Experience managing RUB/UBO registrations and AML/KYC-related corporate compliance requirements.
• Previous experience working with multinational clients establishing or expanding operations in Colombia.
