The Legal Counsel shall be responsible for independently managing compliance matters, including privacy, across EMEA & LATAM, providing practical, business-oriented legal advice and implementing compliance and privacy initiatives, in coordination with the relevant Global Legal, Compliance and Privacy SMEs.
The Legal Counsel will also provide commercial, legal, and regulatory support across EMEA and LATAM, working closely with the Legal Lead for EMEA & LATAM to advise on and manage a broad range of commercial legal matters.
RESPONSIBILITIES:
- Independently manage commercial compliance matters across EMEA & LATAM, including assessing country-specific legal and compliance requirements and developing and implementing practical local and regional policies, guidance, and compliance frameworks tailored to applicable regulatory requirements and business needs, in coordination with Global Legal and Compliance SMEs.
- Be responsible for the review and assessment of submissions for proposed activities or expenditures related to healthcare professionals, medical institutions and other government officials to ensure compliance with the organization’s policies and procedures.
- Act as the regional point of contact for Global Compliance, providing regional input and being responsible for the development and implementation of templates and related guidance for agreements with healthcare professionals and healthcare organizations, including events, consultancy arrangements, sponsorships and similar engagements.
- Develop and deliver training for business partners to support business needs and compliance initiatives.
- Co-develop and track and maintain compliance dashboard(s) and manage and make submission for all regional required periodic compliance reporting.
- Lead and manage non-sales third-party due diligence activities across the region, serving as the regional point of contact and coordinating with relevant internal and external stakeholders to address and resolve identified issues.
- Act as the regional point of contact for Anti-Bribery and Anti-Corruption (ABAC) programs and initiatives, taking responsibility for their effective implementation at regional and local levels, in coordination with Global Compliance, and ensuring that relevant regional employees receive appropriate training.
- Independently drafting, editing, and negotiating contracts including contracts for services, consultancy, review and advice in direct and indirect procurement and Regulatory contracts
- Manage the Parallel import framework in collaboration with Regulatory including but not limited to revision of process and training of relevant regional employee groups in the EU and relevant regions.
- Support Global Legal Privacy Counsel by providing legal advice and guidance on data privacy laws and implementation and training of the company's data privacy strategies, policies, and procedures Identify and monitor relevant developments across the region, identify potential compliance issues and risks, and coordinate with the relevant Global Legal and Compliance SMEs on appropriate actions.
- Provide support with special assignments related to Export & Trade Controls as needed from time to time
- Collaborate closely with the Global compliance team to implement policies, systems and programs that drive organizational compliance with relevant laws, regulations, and standards, including training to relevant stakeholders as required in the areas of compliance for EMEA & LATAM.
- Proactively identify key trends and developments in the commercial compliance areas, prepare presentations and reports/updates to key stakeholder and foster know-how exchange within the legal function and the relevant commercial and corporate functions.
- Ensure efficient management of outside counsel engagement and costs. Actively collaborate with other member the Legal Team, including the Regions and markets as well as with other business partners
- Provide commercial legal and regulatory support to embecta’s business across EMEA & LATAM, in support of and in coordination with the Legal Lead for EMEA & LATAM.
- Support the Legal Lead for EMEA & LATAM in providing commercial legal and regulatory advice to embecta’s business across those regions, including on a broad range of day-to-day commercial matters
- Under the guidance of and in coordination with the Legal Lead for EMEA & LATAM, support the drafting, review and negotiation of commercial agreements and related documentation, including third-party intermediary (TPI) onboarding, distributor and other commercial arrangements and activities.
EXPERIENCE & EDUCATION:
- 5+ years of professional experience in a law firm and/or legal department of a larger enterprise and/or comparable organization; experience in Life Sciences is preferrable
- Self-starter with the ability to manage competing priorities and work autonomously.
- Exceptional written and verbal communication skills, simplifying complex concepts for diverse audiences.
- Proactive, commercially minded problem-solver with a strong sense of ownership
- Resilient, adaptable, and effective in high-pressure environments.
- Strong relationship-building skills across functions & cultures
- Able to balance day-to-day execution with strategic priorities
- Highly organized, analytical, and detail-oriented
- Fluent Business English both spoken and written is essential, other languages a plus ( specially German, French or Spanish)
