We are seeking a qualified lawyer for the role of Senior Counsel, M&A & Compliance for the TR Enterprise Centre GmbH (TREC). This is a diverse and challenging role that offers the opportunity to work directly on the company's M&A activity — including leading select transactions end-to-end — while also supporting a broad range of global compliance and corporate matters. The position will be based in Zug, Switzerland.
About the Role
The Senior Counsel, M&A & Compliance, TREC will play a key role in advancing TREC's M&A and compliance objectives for 2026 and beyond. This individual will report to the Associate General Counsel, Strategy & General Counsel, TREC, and will be a critical member of the M&A and compliance team, with the opportunity to independently lead select transactions. As Senior Counsel, M&A & Compliance, you will be responsible for the following:
M&A Execution & Integration
- Play a substantive legal role on M&A transactions, including acquisitions, divestitures, and minority investments, with primary responsibility for leading select transactions from NDA through closing.
- Lead post-signing and post-closing integration workstreams for acquired and divested businesses, including entity rationalization, governance integration, and alignment of legal and compliance frameworks with enterprise standards.
- Draft, negotiate, and manage transaction and integration-related agreements, including purchase agreements, transition services agreements (TSAs), ancillary agreements, and integration/separation plans.
- Coordinate with cross-functional stakeholders (Tax, Finance, HR, IT, and business teams) to ensure integration milestones are tracked and legal risk is managed through to full integration.
- Manage outside counsel engaged on M&A execution and support due diligence workstreams as needed.
Compliance & Corporate Support
- Provide legal support in areas related to global compliance laws and regulations, including tax, finance, corporate governance, privacy and data protection, and other regulatory laws and guidance that impact the entity.
- Work closely with IP counsel on transfers, trademarks, copyrights, litigation, and other matters.
- Assist with legal analyses and documentation related to intercompany restructurings, intercompany agreements, IP transfers, foreign registrations, loan repayments, transfer pricing, and corporate housekeeping matters.
- Assist with the preparation of TREC board of directors and related committee materials. Draft and revise corporate policies and procedures to ensure legal and regulatory compliance.
- Help with Legal Department special projects and initiatives; participate in audit and other reporting activities; other duties as assigned.
About You
You're a fit for the role of Senior Counsel, M&A & Compliance, TREC if your background includes:
- LL.M. or J.D. in good standing, licensed to practice law
- At least 5 years of legal experience, including practice at a top-tier law firm or as in-house counsel, with meaningful hands-on M&A experience (due diligence, drafting, and negotiation); exposure to post-merger integration is highly valued
- Strong knowledge of corporate laws, rules and regulations
- Ability to act as a trusted adviser on transactions, delivering commercially focused legal guidance in a dynamic, international environment
- Ability to think strategically and creatively, to identify and resolve legal issues
- Excellent communications, project management and organizational skills and attention to detail
- Ability to work independently and collaboratively with business and legal personnel at all levels of the organization
- Ability to positively influence behaviour of multiple stakeholders, as well as to successfully balance the interests of key stakeholders with maintaining a good legal, fiscal and compliance position for the company
- Ability to work across boundaries as part of a global team
- Ability to manage multiple projects with competing deadlines and demands; and
- Professional fluency in the English language
