The Position
Legal CounselJob Summary
Imerys is seeking to onboard a Legal Counsel for SEA and ANZ. Imerys wishes to have the new Legal Counsel onboard by 1st November 2026.
In this role, the Legal Counsel will provide legal support and assistance on a wide range of corporate and commercial legal matters. This includes drafting, reviewing, managing and maintaining legal documents, offering guidance and advice to stakeholders on legal aspects of Imerys’ businesses, addressing all legal concerns, reviewing litigation strategy, handling statutory filings, managing and overseeing company secretarial and corporate governance related matters and protecting company’s interest by ensuring compliance with relevant laws and regulations. The job requires a candidate that is highly organised with extensive knowledge of legal language and practices, and excellent communication skills.

KEY TASKS AND RESPONSIBILITIES:
1. Provide support to Imerys businesses in the region on all areas of commercial in-house legal practice:
provide accurate and timely legal counsel to stakeholders on a wide range of legal topics, including contractual matters, anti-trust / competition law related matters, regulatory compliance and risk management, and alert stakeholders to legal and regulatory risk;
draft, review and negotiate various legal documents including without limitation to commercial contracts, General Terms and Conditions, supply and sale agreements, distribution agreements, NDAs, MOUs, joint venture agreements, shareholder agreements, share sale and acquisition agreement and other contractual arrangements in the fields of merger and acquisition, sale and purchase, supply, consultancy, agency, distribution, construction, mining, banking, etc., as well as develop or update contract templates or adapt existing templates to local requirements;
managing disputes, pre-litigation, and litigation matters, including arbitration, and developing effective strategies to resolve legal issues and protect the company's interests and rights. Resolving commercial claims, liaise and supervise external counsel for outsourced legal matters, ensuring efficient and cost-effective legal representation when required, supervise and coordinate with business team to collect facts and evidence, set and execute litigation strategy, and maintain and provide regular updates on progress of litigations to stakeholders; and
assist/liaise with Group Insurance Department and local brokers for insurance claims and queries;
2. Act as compliance point of contact for the region: assist in training exposed business teams, ensure implementation of Group programs, advise on simple compliance-related issues (with support from Group Compliance team).
3. Take responsibility for, oversee and coordinate corporate governance matters, including managing the network of company secretaries / corporate compliance service provider to carry out corporate secretarial and compliance related matters of all legal entities in SEA and ANZ; and assist corporate aspects of acquisitions, internal restructurings and creations of new legal entities;
4. Support General Counsel, Asia Pacific region in liaising with external consultants to manage corporate restructuring projects and merger and acquisition related matters, as needed; and
5. Undertake any other ad hoc projects and assignments, duties, functions, or services consistent with the role of Legal Counsel or pertaining to the Legal Department, as determined by the General Counsel, Asia Pacific region or senior management.
JOB SPECIFICATIONS:
Academic:
Bachelor or master of degree in law from a reputable law school; bar qualification in Malaysia or other commonwealth countries is a plus.
Experience:
8 to 10 years of broad-based commercial legal experience, either private practice or in-house (work experience in an industrial MNC is preferred).
Skills :
excellent knowledge and understanding of laws of Malaysia (including corporate, contract, commercial and anti-trust laws) and other laws under SEA, ANZ or other common law jurisdiction is a plus;
excellent legal and strategic judgment, coupled with strong business partnering and stakeholder management skills;
possess a high level of integrity, meticulous, and a quick learner;
experience in handling merger and acquisitions and joint venture deals;
excellent written and verbal communication, presentation and interpersonal skills; and
ability to translate complex legal concepts into actionable advice for the business.
Languages:
fluency in business and legal English (both speaking and writing). Other language skills are a plus.
