## In one sentence

We are looking for a talented corporate lawyer to join our in-house Corporate Secretary and Public Company Legal team, serving as a trusted advisor to Amdocs Limited, a Nasdaq-listed company, its Board of Directors and Committees, and its subsidiaries worldwide on corporate governance, SEC and Nasdaq compliance, public-company reporting and company secretarial matters. This role is based in Israel.

## What will your job look like?

SEC Reporting, Securities Compliance & Disclosure

• Prepare, review and file Amdocs Limited’s Form 20-F, Form 6-K reports, Form S-8 registration statements and other SEC filings and disclosure documents.
• Coordinate disclosure input across Legal, Finance, Treasury, Investor Relations, HR and Tax, and drive timely closure of open items.
• Administer insider-trading compliance, including blackout communications, pre-clearance, designated-person lists, Section 16 matters and policy updates.

Annual General Meeting & Shareholder Matters

• Manage the full annual general meeting cycle, including notices, proxy materials, shareholder communications, voting and logistics.

Board, Committee & Corporate Governance

• Prepare and distribute Board and Committee agendas, resolutions, minutes, briefing materials and written consents, and manage approval, execution and record-keeping.

Capital Markets & Financing

• Provide legal support for securities offerings, credit facilities, commercial paper programs, share issuances, buybacks, equity plans and parent guarantees.

Subsidiary Corporate Matters

• Maintain entity governance and corporate records across multiple jurisdictions and legal entities.
• Assist with M&A and post-merger integration (PMI) processes from a corporate perspective.

## All you need is...

• Law degree (LLB, LLM or JD); an LLM or corporate/securities law specialization is an advantage. Bar membership in Israel and/or a U.S. state.
• At least 2 years of post-qualification corporate experience with U.S.-listed public companies, either in-house or at a leading law firm; in-house experience is an advantage.
• Native or near-native English, with exceptional legal drafting and presentation skills.
• Hands-on knowledge of SEC filing procedures and EDGAR, Nasdaq requirements, annual report and AGM and proxy materials, governance processes and disclosure controls, and experience using AI tools to automate processes.
• Strong interpersonal skills, high integrity and discretion, meticulous attention to detail, and the ability to work independently under pressure.
