Job Summary
The Investment Office is looking to hire an experienced Paralegal to join our legal team. This new position offers a unique opportunity to support a $30+ billion investment portfolio serving the long-term operations of a renowned healthcare institution.The Paralegal will play a vital role in supporting the Investment Office’s mission. As a small team, all members of the Investment Office must be nimble and work cooperatively. The Paralegal will report to the Deputy General Counsel for the Investment Office and work closely and collaboratively with investment, operations, and administrative professionals, MGB’s office of general counsel and external counsel. The role provides broad exposure to investment transactions and legal, regulatory, and governance matters across a diversified institutional portfolio.
Qualifications
- Bachelor’s degree required
- Paralegal certification preferred
- Minimum of 3 years of relevant paralegal experience in a law firm, institutional investment office, asset manager, financial institution, or corporate legal department required (investment management, private funds, institutional investing, or comparable transactional experience strongly preferred)
Skills and Abilities:
- Knowledge of corporate entity structures, securities transactions, and regulations as well as corporate governance
- Proficiency with document management, e-signature platforms, and Microsoft Office
- Exceptional analytical, organizational, and time management skills with a high degree of detail and efficiency
- Strong written and verbal communication skills
- Strong ethical standards and discretion with confidential information
- Must be able to exercise independent judgment and to effectively prioritize
Principal Duties & Responsibilities:
- Document Management and Drafting: Draft, review, and revise subscription agreements and related investor documentation, including side letters, investor questionnaires, KYC/AML materials, transfer documentation, consents, NDAs, and service contracts. Manage and maintain legal and investment documents and related records using advanced document management software.
- Transaction Support: Assist with investment transaction execution, including preparing closing documents, coordinating signatures, coordinating due diligence, and tracking transaction milestones. Consult with internal office of general counsel, external counsel, and counterparties to ensure compliance with applicable regulatory requirements under attorney supervision.
- Ongoing Support: Review amendments, identify issues requiring attention, summarize relevant provisions, and coordinate responses under attorney supervision with internal and external stakeholders.
- Legal Research: Investigate statutes, regulations, case law, and industry guidance pertinent to institutional investing, securities, fiduciary duties, and financial regulations. Summarize and present findings for investment and operations teams.
- Regulatory Compliance: Monitor regulatory changes, assist with assist with applicable regulatory filings and reporting, including beneficial ownership, holdings, proxy-voting, and other investment-related filings, maintain compliance records, and support internal audits and regulatory inquiries under attorney supervision.
- Contract Administration: Track the lifecycle of contracts, manage renewals, amendments, and terminations, draft standard templates, and coordinate communications with internal teams.
- Corporate Governance: Assist with board and committee materials, minute books, organize entity filings, and draft resolutions in accordance with internal policies and governing documents.
