SCOPE OF ROLE
Reporting to the Chief Administrative Officer, the Senior Corporate Counsel provides practical legal advice and support to Signature Health on corporate contracting and transactions, labor and employment, compliance and regulatory matters, and industry developments. The Senior Corporate Counsel exercises substantial independent judgment, manages relationships with outside counsel, and develops legal tools and processes that support timely decision-making and consistent risk management across the organization. The Senior Corporate Counsel independently manages day-to-day legal matters and serves as a trusted advisor to organizational leaders while collaborating with the Chief Administrative Officer on complex, high-risk, strategically significant, or governance-related matters.
HOW YOU’LL SUCCEED _________________________________________________________________
- Negotiate, draft, review, and advise on contracts and other legal documents, including vendor agreements, leases and real estate agreements, payer agreements, professional service agreements, software and technology agreements, and other health care contracts.
- Partner with Human Resources on labor and employment matters, including employee relations, workplace investigations, discipline and separation decisions, accommodations and leaves, wage and hour requirements, employment policies, and other employment-related legal issues.
- Manage claims, disputes, administrative proceedings, and litigation, including evaluating risk, developing strategy, preserving information, coordinating discovery, reviewing filings, and managing outside counsel and legal spend.
- Provide counsel on Federal and state health care laws and regulations and accreditation standards, including in areas of privacy, billing, coding and reimbursement, 340B pharmacy, FQHC and federal grants, FTCA, research, fraud, waste, and abuse, and professional and facility licensure.
- Coordinate and manage responses to subpoenas, government inquiries, records requests, and other legal processes, working with internal stakeholders and outside counsel as appropriate.
- Develop and maintain contract templates, forms, playbooks, guidance materials, and other resources that improve consistency and efficiency.
- Monitor relevant legal and regulatory developments and communicate material changes to the Chief Administrative Officer and affected leaders.
- Provide legal advice and counsel on corporate governance issues and serve as a staff governance representative to Signature Health’s Board of Directors.
- Escalate novel, high-risk, strategically significant, or organization-wide legal matters to the Chief Administrative Officer and collaborate on an appropriate response.

Requirements
KNOWLEDGE & EXPERIENCE ___________________________________________________________
- Juris Doctorate (JD) degree with an active law license in good standing in Ohio or the ability to become a member of the Ohio bar within a reasonable period of time.
- 5+ years’ experience in the practice of law.
- Experience drafting and negotiating contracts and advising internal business clients.
- Experience with labor and employment matters.
- Prior law firm or in-house health care experience preferred.
WORKING CONDITIONS ________________________________________________________________
- Work is normally performed in a typical interior/office/clinical work environment.
- While hours of operation are generally standard, flexibility to work evenings and extended hours may be required.
- Requires periods of sitting, standing, telephone, and computer work.
- Hearing: adequate to hear clients or patients in person, over the telephone or through telehealth technology.
- Speaking: adequate to speak to clients or patients in person, over the telephone or through telehealth technology.
- Vision: Visual acuity adequate to perform job duties, including reading information from printed sources and computer screens.
- Physical effort required: occasional lifting and carrying items weighing up to 15 pounds, unassisted.
- Possible exposure to blood borne pathogens while performing job duties.
- Frequent bending, reaching, and repetitive hand movements, standing, walking, squatting and sitting, with some lifting, pushing and pulling exerted regularly throughout a regular workday.
- Sufficient dexterity to operate a PC and other office equipment.
