Transaction Lawyer – Investment Funds / Private Markets - London
An exciting opportunity has come up for a mid-level, transaction lawyer looking to develop their career within a leading investments and professional services firm. You will join a global business of investment professionals and work closely with Mercer Alternatives legal, tax, compliance, and investment teams on a diverse range of private market transactions and internal initiatives.
You will play an important role in ensuring smooth closing of transactions, keeping work aligned with internal process and procedures, and advising investment teams on key transaction terms and conditions.
We will count on you to:
Provide legal support and clear advice to investment teams on a range of private markets transactions, e.g., primaries, secondaries and co-investments, including guidance on legal and investing entities specific legal requirements, transaction feasibility and key risk considerations
Review and negotiate transaction documents with investment managers and their legal and tax advisors
Own the legal workstream and sign off on final documents for execution
Work closely with Mercer’s external legal counsel as needed, including managing the timely delivery of advice and deliverables within the agreed scope and budget
Help address legal questions arising from investments in private equity funds, including tax and regulatory topics
Maintain up-to-date legal knowledge to ensure compliance with relevant policies and legislation
Support the wider Legal and Compliance team on internal projects, processes, and improvements
What you need to have:
Experience gained in a law firm or legal department of an asset or fund manager, with hands-on private markets transactions experience
Strong understanding of closed-ended funds, common transaction structures, and how they work in practice
Excellent organisational, drafting and negotiation skills
Excellent communication skills with the ability to manage expectations well
Proactive and confident taking initiative and ownership of matters, with a continuous-improvement mindset
A team player that offers to help colleagues and shares workload
Enthusiastic and looking to develop a long-term career in-house
