MUFG Legal department in EMEA
The Legal department in Europe, Middle East and Africa (together, “EMEA”) provides legal services to and manages the legal risk for MUFG Bank and MUFG Securities (EMEA) and the MUSHD international business (collectively the “Firm”). Members of Legal are dual-hatted across MUFG Bank and MUFG Securities. Dual-hat employees will be expected to be entity neutral across all responsibilities to ensure that services are provided to both entities effective and without favour or detriment to the other entity.
The Legal department in EMEA provides legal services to and manages the legal risk for MUFG Bank, Ltd. (branches and subsidiaries in EMEA) and MUFG Securities (EMEA) (collectively the “Firm”).
Members of Legal are dual-hatted across MUFG Bank and MUFG Securities. Dual-hat employees will be expected to be entity neutral across all responsibilities to ensure that services are provided to both entities effective and without favour or detriment to the other entity.
The Corporate Affairs Pillar is a team within EMEA Legal and is the team responsible for managing key governance boards and committees.
MAIN PURPOSE OF THE ROLE
The individual is part of the Corporate Affairs Pillar within the Legal Department and reports into the Head of Corporate Affairs for the EMEA region, and locally reports to MGS Legal Team Lead (Legal Counsel and Vice President, MGS, Bangalore, India).
Their role includes provision of corporate secretarial and governance support and advice for Board and Board committees (for EMEA Securities and Bank subsidiaries as well as for International subsidiaries). The individual will be responsible for ensuring that company secretarial obligations are executed accurately and on time, in a controlled and well‑governed manner in line with MUFG policies, applicable legal and regulatory requirements. The role will work closely with EMEA Legal leadership, Company Secretariat, Independent Non‑Executive Directors and a range of business and control function stakeholders, and will operate on an entity‑neutral basis across MUFG Bank and MUFG Securities.
KEY RESPONSIBILITIES
Corporate Affairs and Governance
- Provide day‑to‑day company secretarial and governance support for Boards, Board Committees and Executive Committees of EMEA Bank and Securities entities.
- Coordinate Board and Committee meetings, including collation of papers, agendas, actions logs and follow‑up.
- Attendance (via video conference) at and taking minutes and actions of Board and Committee meetings.
- Provide administrative support to the Head of Corporate Affairs for the EMEA region.
- Provide support and advice to Independent Non‑Executive Directors as required.
- Prepare, coordinate and submit periodic and ad‑hoc statutory and regulatory filings, ensuring accuracy and timeliness.
- Update and maintain EMEA statutory records, constitutional documents and governance documentation.
- Support the ongoing maintenance and application of the EMEA corporate governance framework, procedures and operating model.
- Assist with corporate approvals, resolutions and governance actions across multiple entities and jurisdictions.
- Contribute to the development and maintenance of an integrated governance framework and process for policies for Bank and Securities.
- Maintain and enhance good working relationships with stakeholders, across the region and globally to share best practices, provide support and develop effective local policies and procedures which are appropriate to the global franchise, and working in support of the One MUFG and overall Group strategy.
WORK EXPERIENCE
Essential:
- Solid experience in company secretarial, corporate affairs and governance, or a comparable role within a regulated environment.
- Hands‑on experience supporting Board and Board Committee processes and statutory / regulatory filings.
- Experience delivering projects, workstreams or significant initiatives within legal, governance or operational functions.
- Experience working across multiple legal entities or jurisdictions.
- Proven ability to manage deadlines, prioritize work and operate accurately in a controlled environment.
- Experience interacting with senior stakeholders, including Directors and Non‑Executive Directors.
Preferred:
- Experience within an in‑house legal department in financial services.
- Exposure to Legal transformation, operating model change or remediation initiatives.
- Experience working within a dual‑hat or multi‑entity framework.
SKILLS AND EXPERIENCE
Functional / Technical (Essential)
- Strong corporate governance and corporate affairs execution capability.
- Structured, delivery‑focused project management skills.
- Excellent written communication and drafting skills, particularly for governance materials.

Functional / Technical (Preferred)
- Familiarity with governance, legal operations or project tracking tools.
- Understanding of financial services regulatory and control environments.
Education (Essential)
- Bachelor’s degree or equivalent professional experience.
Education (Preferred)
- Training or certification in governance and company secretarial practice (formal or on‑the‑job).

PERFORMANCE AND DUTIES
The role holder will be assessed in accordance with their employing entity’s performance framework and process with relevant input obtained from the dual hatting entity as relevant.
As duties and responsibilities change, the job description will be reviewed and amended in consultation with the role holder. The role holder will carry out other duties as are within the scope, spirit and purpose of the role as requested by their line manager or Department Head.
MANAGING CONFLICTS OF INTEREST
- The role holder will have responsibilities for both MUFG Bank and MUFG Securities EMEA plc.
- The role holder will be required to perform their duties and responsibilities on an entity neutral basis, without favour.
- The role holder is required to follow regulatory requirements applicable to ensure each business is appropriately supported and to maintain the legal entity integrity of each of MUFG Bank and MUS.
- Working terms are dictated by functional mandates, the terms of the Dual-Hat Arrangement Agreement in place between MUFG Bank and MUFG Securities EMEA plc and any other relevant agreements entered into between MUFG Bank and MUFG Securities EMEA plc.
- The role holder will have responsibility for identifying and resolving where there may be a difference or conflict in needs between MUFG Bank and MUFG Securities EMEA plc, escalating to their manager where required.
