How you'll make an impact
FCC is establishing a Project Finance business line to help finance complex projects that strengthen Canadian agriculture and food systems. As Senior Legal Counsel, Project Finance, you’ll play a key role in supporting this strategic growth initiative and shaping how FCC delivers project finance solutions.
Working closely with business leaders, credit teams and external partners, you’ll help structure, negotiate and execute sophisticated financing transactions. Your practical legal advice will support innovative financing solutions, manage legal risk and advance FCC’s mandate as a Canadian Crown corporation. What you'll do
- Provide legal advice on project finance, infrastructure finance, acquisition finance and other structured lending transactions
- Support the development, launch and ongoing growth of FCC’s Project Finance business line
- Advise business and credit teams throughout the transaction lifecycle, from origination and structuring to closing and portfolio management
- Draft, review and negotiate credit agreements, commitment letters, term sheets, security documents, intercreditor agreements, participation and syndication arrangements, confidentiality agreements and other transaction documents
- Advise on transaction structuring, risk allocation and lender protections
- Support syndicated financings and transactions involving multiple lenders, government agencies, export credit agencies and other financing participants
- Manage legal due diligence and identify legal risks associated with complex transactions
- Retain, instruct and supervise external legal counsel in Canada and other jurisdictions, as required
- Develop legal precedents, processes, templates and guidance materials to support scalable and efficient delivery of legal services
- Provide training and practical legal guidance to business partners on project finance and related legal matters
- Collaborate with senior leaders across FCC to identify opportunities, solve problems and support strategic initiatives
What you'll bring to the team
Required qualifications:
- Bachelor of Laws (LL.B.) or Juris Doctor (J.D.)
- Minimum seven years of experience advising on project finance, infrastructure finance, syndicated lending or other complex financing transactions
- Experience drafting and negotiating commercial financing documents and leading discussions with borrowers, counterparties, and external legal counsel
- Strong understanding of secured lending, credit structures, project financing transactions, security packages and transaction execution, with a practical understanding of how complex transactions are structured and completed
- Demonstrated ability to identify legal risks, exercise sound judgment, and provide practical, business-oriented legal advice and solutions
- Strong communication, negotiation, relationship management and collaboration skills with the ability to build trusted partnerships across the organization
- Proven ability to manage multiple complex transactions simultaneously, prioritize competing demands, and drive matters to completion
- Self-motivated and adaptable, with experience developing new approaches, processes, precedents, or solutions to support business needs
- Eligibility and good standing to practise law in Canada
Preferred qualifications:
- Experience acting for lenders, project sponsors, investors or government financial institutions in project finance transactions
- Experience with energy, infrastructure, transportation, agribusiness, natural resources and/or public-private partnership projects
- Experience with syndicated lending and multi-party financing structures
- Experience working within a federally regulated financial institution, Crown corporation or public sector environment
- Bilingualism (English and French)
