Purpose:

This role reports to the Vice President, Legal Reinsurance and is responsible for providing general legal support in connection with the Company’s reinsurance transactions in the life and annuity (re)insurance market across a variety of international jurisdictions, including the U.S. and the Asia-Pacific region. The role will assist with transaction diligence, negotiation, documentation and execution, as well as other legal matters relating to the Company’s reinsurance activities.

Accountabilities:

• Advise on, draft, review, and negotiate a wide range of complex commercial contracts related to transactions to support Athene’s growing book of international reinsurance business.
• Provide general corporate legal support for reinsurance transactions including assistance with ongoing contractual compliance, corporate governance, regulatory filings and documentation management.
• Provide timely and accurate legal analysis of applicable laws and regulations and advise business personnel on the legal and regulatory aspects of life and annuity reinsurance transactions.
• Work with various teams, including actuarial, finance and corporate development, to support an active pipeline of life and annuity reinsurance transactions.
• Instruct and facilitate external legal counsel, as appropriate, to support Athene’s legal needs.

Qualifications and Experience:

• Qualified lawyer with a minimum of 6 years’ legal experience gained at a leading law firm and/or in the legal department of a large financial services company.  Experience in M&A, reinsurance and/or other transactional work is required, with knowledge of the life (re)insurance industry and/or asset management business being an advantage.
• Experience and expertise in legal, regulatory, and other business issues relating to the negotiation and consummation of reinsurance and/or strategic corporate acquisitions
• Understanding of fundamental principles of financial services regulation and compliance requirements.
• Demonstrated track record of drafting, negotiating, and consummating transaction agreements, preferably in connection with reinsurance, M&A or other complex corporate transactions.
• Experience dealing with cross-jurisdictional transactions
• Self-motivated with an ability to work independently and successfully in a high-pressure corporate setting and manage multiple projects/priorities in a fast-paced environment
• Strong record of academic achievement
• Ability to work effectively as a member of a legal team, including with colleagues in other divisions of the Company
• Strong work ethic with attention to detail
• High degree of professional ethics and integrity
