Role Summary

The Transaction Manager is a key member of the Corporate Trust team, responsible for the end-to-end documentation and management of international, cross-border transactions, including bonds, loans, escrows, and account bank arrangements. Serving as the primary liaison between legal counsel, clients, and internal stakeholders, the Transaction Manager ensures all deals adhere to the highest operational and documentation standards. This role is integral throughout the entire transaction lifecycle—from initial mandate and launch to closing and maturity—and acts as the primary point of contact for all portfolio-related inquiries. The successful candidate will execute transactions in line with global business standards and contribute to the continuous improvement of internal procedures.

Key Responsibilities

Transaction & Documentation Management

  • Lead Negotiation: Review and negotiate governing legal documents (e.g., trust deeds, agency agreements, account bank, escrows etc) to meet international market standards, ensuring the accurate reflection of operational duties and Citi’s documentation policies.
  • Document Review: Provide expert commentary and advice on various iterations of bond, loan, escrow, and account bank documentation in collaboration with stakeholders and/or external counsel.
  • Deal Execution: Manage a dynamic daily workload with multiple competing priorities, ensuring all transaction activities and internal checks are completed accurately and within deadlines.
  • Data Integrity: Ensure all relevant transaction data is accurately captured and maintained in internal Citi systems.

Risk Management & Governance

  • Risk Identification: Proactively identify and escalate unusual or novel features within transaction documents to internal Legal, Risk, Tax, and Operations teams to mitigate potential risks.
  • Vigilance & Escalation: Maintain a high level of vigilance regarding all potential risks, ensuring they are mitigated where possible and escalated appropriately through the proper channels.
  • Procedure Maintenance: Contribute to maintaining and updating internal procedures and proprietary checklists to align with current practices and evolving policy requirements from legal, risk, and compliance stakeholders.

Stakeholder & Client Management

  • Relationship Management: Build and maintain effective working relationships with internal stakeholders (Operations, Legal, Risk, Compliance) and external parties (clients, legal counsel).
  • Client Service: Address all client queries in a timely and professional manner, fostering excellent working relationships and ensuring a high level of client satisfaction.
  • Global Collaboration: Work effectively with a global team across various time zones, demonstrating clear, efficient, and effective communication skills.

Leadership & Expertise

  • Subject Matter Expert: Act as a subject matter expert within the team, providing guidance and support to junior members and contributing to the overall knowledge base of the department.
  • Process Optimization: Continuously seek opportunities to optimize stakeholder experience and identify efficiencies in the transaction management process.

Qualifications

Required Experience

  • A minimum of 4+ years of direct experience in Debt Capital Markets (DCM), Equity Capital Markets (ECM), or Corporate Trust within a financial institution.
  • Alternatively, a minimum of 4 years Post-Qualified Experience (PQE) in a law firm specializing in DCM or ECM.
  • A total of 8+ years of relevant professional experience is highly desirable.

Knowledge & Skills

  • Technical Knowledge: Strong background in private legal practice, Corporate Trust, or corporate banking with proven knowledge of debt capital markets and complex legal document negotiation.
  • Negotiation Skills: Proven ability to confidently negotiate commercial and legal points with both internal and external counterparties.
  • Communication: Excellent written and verbal communication skills, with the ability to convey complex information clearly and concisely.
  • Organizational Skills: Superior organizational and time-management skills, with the ability to manage multiple transactions and priorities simultaneously in a fast-paced environment.
