SUMMARY
The Associate General Counsel provides legal support on a broad range of legal and compliance matters to broad to Ingenovis Health and its affiliated brands, including but not limited to employment law, commercial contracting, data privacy and AI, insurance and risk, regulatory compliance, and general corporate matters. The position works closely with the Chief Legal & Compliance Officer to identify legal risks, develop practical business solutions, and support strategic initiatives across the enterprise.
RESPONSIBILITIES
Commercial Contracts
- Oversee and manage commercial and vendor contracts for the IGV enterprise, including supervising staff who review, draft, and negotiate a variety of commercial agreements, including client and vendor agreements, confidentiality agreements, service agreements, technology agreements, and business partner contracts.
- Partner with business stakeholders to balance legal risk with operational objectives.
Employment Law
- Advise Human Resources and business leaders on employment law matters, including hiring, discipline, performance management, leaves of absence, accommodations, wage and hour issues, restrictive covenants, and terminations.
- Draft and review employment agreements, separation agreements, restrictive covenant agreements, and related HR documentation.
- Monitor legal developments and provide practical guidance regarding federal, state, and local employment laws.
Privacy, Data Security, AI, and Regulatory Support
- Support enterprise compliance initiatives and policy development on legal and regulatory topics, including data privacy, data security, artificial intelligence governance, intellectual property, and responsible technology use.
- Advise on privacy and data security considerations involving employee, clinician, client, vendor, and business data, including contract terms, incident response coordination, data handling practices, and emerging regulatory requirements.
- Provide legal support for AI-related governance, including review of AI tools, vendor terms, acceptable use guidance, risk assessments, and policies addressing the responsible use of emerging technologies.
Risk Management and Insurance
- Support risk management and insurance matters, including review of insurance provisions, indemnity obligations, certificates of insurance, claims, coverage questions, and related contractual risk allocation issues.
- Partner with internal stakeholders, brokers, carriers, and outside counsel to evaluate enterprise risk, respond to claims, and support insurance renewals and coverage assessments.
Healthcare Staffing and Workforce Compliance
- Provide legal guidance on healthcare staffing and workforce compliance matters, including clinician assignments, credentialing and licensure issues, client-driven employment actions, contingent labor risks, and staffing-related regulatory obligations.
- Advise internal teams on joint employment, employee classification, background screening, exclusion checks, assignment terminations, and workforce-related compliance issues across multiple jurisdictions.
Corporate and General Legal Support
- Provide advice on a broad range of corporate legal matters.
- Assist with governance activities and special projects.
- Support mergers, acquisitions, integrations, and strategic transactions as needed.
- Performs additional duties as requested by management
REQUIREMENTS AND EXPERIENCE
- Juris Doctor (J.D.) from an accredited law school.
- Active license and good standing in at least one U.S. jurisdiction.
- Minimum of 5 years of legal experience.
- Strong employment law experience required.
- Experience negotiating and drafting commercial agreements.
- Excellent communication, judgment, and problem-solving skills.
- Ability to manage multiple priorities in a fast-paced environment.
- In-house legal experience.
- Experience supporting multi-state employers.
- Experience in healthcare or general staffing.
- Familiarity with privacy, compliance, and corporate governance matters.

PHYSICAL DEMANDS AND WORK ENVIRONMENT
- Ability to use sensory skills to effectively communicate and interact with other employees and the public through use of the telephone, email, video conference and face to face contact
- Ability to use manual dexterity, visual acuity and hearing acuity to effectively use and operate office related equipment such as but not limited to a computer, copier, scanner, camera, phone, headset, keyboard and mouse
- Ability to sit for extended periods of time at a keyboard and workstation with low periods of reaching and standing
- Ability to lift up to 15 pounds at times

Compensation Range
$132,960.00 - $166,200.00Benefits include: health, dental, vision, FSA/HSA, company-paid life insurance, 401K with discretionary match, paid time off, paid parental leave, and tuition reimbursement.
