The Role
Our Client is seeking a highly meticulous, independent, and process-driven Investment Operations Analyst to join their Exits & Corporate Actions team. This critical role owns the full lifecycle operations of Special Purpose Vehicles (SPVs) and investment funds—spanning complex distribution calculations, regulatory compliance filings, entity KYC onboarding, and cross-functional corporate documentation. Designed for an autonomous individual contributor who maintains a "healthy dose of paranoia" regarding numbers, deadlines, and tracking, this professional thrives under high-intensity, short-turnaround conditions to produce flawless, audit-ready outputs with minimal oversight.
Key Responsibilities
End-to-End Exit Processing & Corporate Actions

Manages the day-to-day operational execution of portfolio company exits, mergers, tender offers, dissolutions, and conversions, executing necessary partner votes, consents, and documentation.

Partners closely with transfer agents and external legal counsel to monitor securities restrictions (e.g., Rule 144 legends, lock-up periods) and aggressively maintains the corporate restricted securities list.

Standardizes data tracking workflows by accurately logging all active exit events and corporate updates into Airtable and archiving verified legal documents inside Dropbox.
Quantitative Calculations & Fund Distributions

Prepares, reviews, and validates complex distribution mathematical schedules and waterfall calculations behind every portfolio exit event before data is communicated to stakeholders.

Reconciles distribution totals against raw historical source records, rapidly flagging and resolving financial discrepancies to protect entity liability.

Coordinates with external platforms (such as AngelList) and internal finance branches to ensure exit proceeds flow accurately and rapidly to members.
Regulatory Filings & Corporate Governance

Spearheads the preparation, state-by-state fee tracking, and timely submission of vital regulatory and securities filings, including SEC Form ID (EDGAR access), Form D federal notices, and Blue Sky compliance notices.

Orders and structures critical corporate documentation packages across various states of formation (e.g., Delaware, Vermont), including Certificates of Good Standing, Manager’s Certificates, and Articles of Organization.

Reviews complex transaction frameworks and LLC operating agreements to ensure operational alignment, coordinates domestic and international notarization/apostille processes, and establishes scalable Standard Operating Procedures (SOPs).
KYC, Investor Onboarding & Cross-Functional Synergy

Compiles, reviews, and validates rigorous entity and individual Know Your Customer (KYC) files—including authorized-signatory lists, beneficial-owner structures, and IDs—prior to external counterparty submission.

Audits inbound vendor agreements (Privacy Policies, Terms & Conditions, DPAs) for operational consistency, systematically escalating substantive legal friction points to counsel.

Synchronizes data integrity across Deal, Compliance, Nexus, and Finance teams to ensure seamless deal launches and flawless post-exit reporting.
Qualifications, Skills and Key Competencies
Required Qualifications

Background: Strong foundational degree or background in law, finance, mathematics, business, science, engineering, or a highly quantitative field. A paralegal or legal-operations background is highly valued.

Experience: 4–5 years of professional experience in an investment operations, legal operations, fund administration, or corporate finance workspace is preferred.

Technical Domain Knowledge: Deep familiarity with US corporate exits (mergers, conversions, lock-ups, Rule 144) and hands-on experience processing securities/regulatory filings (Form ID, Form D, Blue Sky).

Quantitative & Analytical Mastery: Elite mathematical competency with a proven track record of constructing, checking, and reconciling complex distribution frameworks or data sheets.

Software Fluency: Mastery of digital workflow toolsets, specifically Airtable, Dropbox, DocuSign, Microsoft Excel, and Google Sheets.

Language: Elite written and verbal English communication skills, equipped to compose nuanced, highly professional investor correspondence and legal summaries.

Infrastructure: A secure personal computer complying with strict digital security standards, backed by a highly stable, high-speed secure internet connection.

Direct experience handling venture capital SPV structures, syndicates, or multi-tiered fund distribution workflows.

Proven capability reading, dissecting, and interpreting sophisticated LLC operating agreements and venture investment documents.
