The Assistant Corporate Secretary administers ENMAX’s corporate governance framework and provides support to the ENMAX Board of Directors, its Committees and the Shareholder in the discharge of their various governance duties and responsibilities, including coordination of materials from the Executive Team in support of Board activities.
Major Responsibilities:
Plan and execute logistics of all Board, Committee and Shareholder meetings including material preparation and submission
Attend Board and Shareholder meetings and record and produce meeting minutes
Administering, developing and maintaining the Board’s online portal
Provide corporate secretarial support to the ENMAX group of companies, as appropriate
Act in the place of the Corporate Secretary when the Corporate Secretary is unable to act
Provide corporate records management and disclosure functions; provide or procure research on matters relevant to board operations and governance trends
Coordinate corporate governance disclosures and internal/external communication requirements
Track and report on current corporate governance practices
Oversee maintenance of ENMAX’s corporate records and minute books
Document preparation for Board and Shareholder deliverables including reports and resolutions
Oversee administration of payroll in connection with the payment of director’s fees and retainers for the members of the Board of Directors
Prepare and send out meeting notices, communicate directly with Board members, prepare agendas, minutes and board packages
Work together with Shareholder Relations and Strategic Projects Manager and related functions in preparation for and delivery of key Shareholder events including ENMAX’s AGM
Education Required:
Post-secondary degree in law, business, communications or related field or a corporate secretarial designation or training program
Equivalent combination of education and experience will be considered
Qualifications & Experience:
5 plus years of experience supporting senior executives or Boards, legal, regulatory tribunal or compliance processes
Experience carrying out corporate governance practices and processes or equivalent
Exceptional written communication, grammar and attention to detail required for preparing and reviewing Board materials and external reports
Strong organizational abilities and project management skills
Highly effective relationship-building skills, with a collaborative approach and commitment to team success
Proven ability to handle sensitive information and context with confidentiality and care
Competencies:
Commitment to maintaining the confidentiality of Board materials and information, exercising discretion and care in all aspects of the role
Self-motivated and proactive, with the ability to independently identify and prioritize work and take appropriate action

Location: This role will be part of our hybrid (home and office) workforce with office workspace located at ENMAX Place (141 - 50th Avenue SE, Calgary, AB). You will work from home on Mondays and Fridays and in the office on Tuesdays, Wednesdays, and Thursdays.
