Job Description: Corporate attorney

 

The legal and corporate attorney will provide comprehensive legal support across corporate, governance, and ideally, insurance distribution matters. The role will act as a trusted business partner, supporting the company's strategic objectives through the provision of pragmatic, risk-based legal advice, while ensuring compliance with applicable corporate, insurance, and regulatory requirements.

 

The ideal candidate will combine strong expertise in corporate and commercial law with a solid understanding of the insurance sector, including insurance distribution frameworks, regulatory requirements, and governance obligations.

 

Key Responsibilities: Supporting the Head of Legal:

 

Commercial and Contractual Matters

• Draft, review, negotiate, and manage a broad range of commercial agreements and corporate documentation.
• Provide practical legal advice in relation to contracting strategies, contractual risk management, and dispute avoidance.
• Promote a proactive legal culture and foster early engagement with Legal on strategic initiatives.

 

Corporate Governance and Secretarial Services

• Provide corporate secretarial support
• Coordinate the preparation and approval of annual accounts and statutory corporate filings.
• Draft minutes, board resolutions, shareholder resolutions, corporate certificates, powers of attorney, and other governance documentation.
• Support the appointment and interaction with auditors, notaries, registries, and other external authorities.
• Manage company incorporations, corporate restructurings, amendments to articles of association, capital changes, and other corporate transactions.
• Maintain corporate records and ensure ongoing compliance with applicable corporate governance requirements.

 

Corporate Transactions and International Structures

• Assist with the incorporation and establishment of new entities and branches across multiple jurisdictions.
• Participate in strategic projects involving business expansion, operational transformation, governance enhancements, and regulatory change.

 

Insurance Regulatory and Distribution Support (desirable)

• Advise on insurance distribution activities and applicable regulatory requirements, including the Insurance Distribution Directive (IDD) and related local implementing legislation.
• Support the development and maintenance of regulatory governance frameworks, policies, and procedures applicable to   distribution activities.
• Provide legal advice on customer-facing processes, distribution arrangements, delegated service models, and outsourcing structures.
• Monitor relevant regulatory developments affecting insurance distribution and provide timely guidance to the business.
• Support interactions with insurance partners, regulators, and supervisory authorities where required.

 

Requirements:

• You are professionally qualified in the legal sector;
• You have between 2 and 4 years of experience in insurance/regulated sectors, corporate, consumer and commercial laws;
• You are fluent in Spanish and English; French as a plus.
• Experience supporting multinational organizations and cross-border projects.
• You are business minded, result oriented, service driven, flexible, hands-on, pro-active and pragmatic;
• You are well organized and a good communicator;
• You are a team player.

 

The candidate will be comfortable operating in a fast-paced international environment, managing multiple stakeholders, and translating complex legal and regulatory requirements into practical solutions that support business growth and regulatory compliance.

The successful candidate will support businesses and operations based in Madrid, Spain.
