Senior Manager, M&A Technology & Operations

Overview

This Senior Manager, M&A Technology & Operations supports the planning and execution of complex mergers, acquisitions, divestitures and other strategic transactions across Technology & Operations.

The role supports transactions across the deal lifecycle, from due diligence and transaction planning through close, Day 1, transition, separation/integration and post-close execution. The role works across Technology & Operations and key Enterprise functions to identify technology implications, establish execution strategies, manage dependencies and risks, and drive readiness against critical transaction milestones.

The role also supports the M&A Centre of Excellence by applying lessons learned across transactions, strengthening execution standards, playbooks, tools and governance, and continuously improving how Technology & Operations executes future deals.

The Senior Manager, M&A Technology & Operations, operates across senior executives, technology teams, business partners and external advisors and requires strong program leadership, communication, problem-solving, negotiation and stakeholder management skills.

Core Responsibilities

  • Lead and coordinate Technology & Operations activities across complex M&A transactions, including acquisitions, divestitures, separations and other strategic initiatives.
  • Support the full transaction lifecycle, including due diligence, transaction planning, Day 1/close readiness, separation or integration, transition and post-close execution.
  • Translate transaction requirements into an executable T&O strategy and roadmap, identifying key milestones, dependencies, decisions, risks, resources and accountabilities.
  • Coordinate technology due diligence, assessing key applications, infrastructure, cybersecurity, data, third parties, contracts and operational considerations to identify risks, costs, dependencies and opportunities.
  • Support development, negotiation and execution of Technology Transition Service Agreements (TSAs), including service identification, operational readiness, governance, dependencies, risks and exit planning.
  • Drive Day 1 and close readiness, ensuring technology activities, dependencies, contingency plans, approvals and business readiness are aligned to transaction milestones.
  • Lead cross-functional governance and coordination across Technology & Operations, Finance, Procurement, Legal, Risk, Compliance, Cybersecurity, Data, Communications, Audit and business stakeholders.
  • Identify and manage cross-program dependencies, risks and issues, escalating material decisions and execution risks to senior leadership with clear recommendations and paths to resolution.
  • Develop executive-level reporting and communications that clearly articulate transaction status, key decisions, risks, dependencies and readiness for senior executives and governance forums.
  • Facilitate complex decision-making across business and technology stakeholders, balancing transaction objectives, technology constraints, risk, cost and operational considerations.
  • Coordinate internal and external partners, including consultants, vendors, transaction advisors and counterparties, to support transaction planning and execution.
  • Support separation and integration planning, including applications, infrastructure, data, cybersecurity, third parties, operational processes and technology services.
  • Maintain and enhance the M&A Centre of Excellence, including transaction playbooks, governance standards, templates, tools, readiness frameworks and execution methodologies.
  • Conduct transaction retrospectives and apply lessons learned to strengthen execution approaches for current and future transactions.
  • Drive continuous improvement of M&A tooling and processes, identifying opportunities to simplify execution, improve transparency and strengthen portfolio-level governance.
  • Ensure transaction activities align with Enterprise risk, regulatory, security and compliance requirements.
  • Operate effectively in time-sensitive transaction environments, including periods requiring accelerated decision-making and execution outside normal business hours.

Preferred Qualifications

  • Significant experience leading or supporting large, complex technology programs, M&A transactions, divestitures, separations or enterprise transformation initiatives.
  • Experience working across the M&A transaction lifecycle, including due diligence, planning, close/Day 1 readiness and post-close execution.
  • Strong understanding of technology considerations associated with applications, infrastructure, cybersecurity, data, third parties and technology operations.
  • Experience with Technology TSAs, including service definition, transition planning, governance, dependencies and exit considerations.
  • Demonstrated ability to manage complex programs with multiple workstreams, interconnected dependencies and critical transaction milestones.
  • Strong ability to identify risks and issues, structure complex problems and develop clear recommendations for senior executives.
  • Demonstrated experience working with senior executives and leading cross-functional teams across Technology, Operations, Finance, Legal, Procurement, Risk and other Enterprise functions.
  • Strong executive communication skills with the ability to translate complex technology and transaction issues into concise, decision-oriented materials.
  • Strong negotiation, influencing and stakeholder-management capabilities, including the ability to establish alignment where competing priorities exist.
  • Experience working with external advisors, consultants, vendors and transaction counterparties.
  • Ability to operate effectively with limited supervision in a fast-paced, confidential and highly time-sensitive environment.
  • Strong financial and commercial acumen with an understanding of how technology decisions affect transaction cost, risk, operational continuity and business outcomes.
  • Financial services and regulated-industry experience preferred.
  • Advanced PowerPoint, Excel, SharePoint, written/verbal communication and executive presentation skills.
  • Willingness to travel and work non-standard business hours during critical transaction periods as required.
