Job Description:

Member of the legal team in Bucharest, Romania.
The Senior Leasing Legal reports to the Head of Legal for Romania.

Purpose of the Role and Key Responsibilities

The Senior Leasing Legal (“SNR Leasing Legal”) will be responsible for (i) effectively managing the negotiation and execution of significant leasing contracts and other contracts related to the leasing area within the properties located in Romania as well as (ii) the implementation of the corporate changes, working points set-up and other corporate related items within the Romanian companies.

 

The Role is structured to cover two separate work flow streams: (i) Leasing and (ii) Corporate.

 

On the Leasing side, the SNR Leasing Legal will assume responsibility for ensuring that leasing deals adhere to consistent standards nationwide, maintaining a centralized database of contracts, and ensuring easy accessibility to deal information. Other key responsibilities include:

 

• Drafting, negotiating and concluding contracts and any anciliarry documents related to the leasing operations of the properties located in Romania (such as lease agreement, addendums, assignment agreements, sublease agreements, notices, consents, NDA, solar equipment & batery leases, land leases, etc.) according to established Group parameters.
• Take charge of negotiations or actively participate in negotiating significant contracts to safeguard the company's best interests. Ensure alignment with the Group's standard terms and procedures, as well as adherene to regulatory compliance.
• Ensure the process for contract approval before signing. Verify the existence and appropriate approval of contracts.
• Offer practical guidance and recommendations on contractual legal matters to other departments of the company regarding the aspects connected to leasing any of the Romanian properties or any part thereof to any purpose..
• Assess potential legal risks, develop and implement strategies to minimize these risks, ensuring alignment with business objectives.
• Performing the KYC compliance process with the tenants. Observing the internal compliance and AML procedures in relation to the conduct of its activity and the tenant under its supervision.
• Identify and address any legal issues related to leasing (for both prior the execution of a lease agreement or ancilliary document, as well as after its implementation, on the operational side) as such may arise.
• Operate within a highly collaborative team environment, interacting closely with diverse departments. Oversee external law firms to ensure specialized legal advice is effectively managed and obtained.
• Monitor legal developments and assess their impact on business strategies. Provide management with advice on leasing legal matters based on this evaluation.
• Assist with other legal tasks, such as obtaining opinions on legal aspects of key business issues or initiatives etc.
• Assist with debt collection and enforcement procedures towards the tenants / occupiers of premises, together with the support of external lawyers.
• Generate requested commercial summaries, reports, and analyses related to the leasing area.

On the Corporate side, the SNR Leasing Legal will assume responsibility for ensuring that the corporate changes decided at the country level / Group level are implemented for the CTP Group companies in Romania and with the relevant authorities, maintaining a centralized database of corporate certificates and documentations, and ensuring easy accessibility to the information. Other key responsibilities include:

• drafting the corporate documentation for the implementation of all the corporate changes decided at the country level or Group level, for the Romanian companies, ensuring the signing of the respective documentation as well as their registration with the competent local authorities;
• ensuring the existence of Group / local approvals for signing the corporate documentation;,
• drafting and assisting with signing of ancillary documentation such as affidavits, powers of attorney, statements, signature specimen etc with regards to the local management, Group management and/or employees or collaborators of the CTP Group companies / Romanian companies;
• organising the original documentation ensuring its availability to interested parties (internally), archiving, distribution internally of the documentation;
• preparing reports, analysis or other internal documentation requested by the Group or local management related to the corporate area;
• set-up of new Romanian companies for projects, establishing working points, assisting with corporate approvals for deals, transactions, financing etc.
