Description
Amentum is seeking an AGSA Compliance Director/Company Secretary to act in accordance with the requirements of the Australian Corporations Act 2001 plus amendments. The position requires taking reasonable steps to ensure that AGSA complies with required laws and statutory and regulatory requirements that apply to the operation of AGSA as an Australian company, and take steps to stay informed of changes to these that may occur over time. This role reports directly to the AGSA Chair of the Board/Director of Infrastructure and Engineering.
Job Requirements:
Review board papers and ask critical questions of management and stay informed of the business operations
Monitor the company’s financial position continually to ensure the company does not incur debts that cannot be reasonably met
Identify, declare, and properly manage any material personal interests that may conflict with the duties owed to the company
Ensure that the company meets its statutory obligations, including maintaining accurate financial and corporate requirements and fulfilling the requirements of ASIC and the Australian Taxation Office (ATO)
Maintain harmonious and constructive relationships with fellow Directors, the Chair, and operational management
Travel as needed to Alice Springs and possibly other locations in Australia from time to time as directed by the Chair; a minimum of one face-to-face board meeting in Alice Springs per year is mandatory
Coordinate and schedule meetings for the Board of Directors
Manage the timely preparation, collation, checking and distribution of Board Papers and agendas with assistance from the minute secretary
Record accurate, comprehensive minutes and track all resulting actions with assistance from the minute secretary and ensure minutes are signed by all Directors
Maintain all statutory registers required by ASIC and other entities
Record keeping, both electronic and paper
Ensure all filings are achieved within timelines set by relevant authorities
Answer and direct phone calls and inquiries
Perform other duties as assigned in support of team and project objectives
Minimum Requirements:
Bachelor’s in business administration (MBA preferred)
Australian Citizen
5+ years of experience in support or office management
Proficient in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint)
Strong organizational, written, and verbal communication skills
Strong understanding of Directors' legal obligations under Australian Law. Qualifications from bodies like the Australian Institute of Company Directors (AICD) or the Governance Institute of Australia (GIA) are recommended
Ability to read, understand and analyse complex financial statements, assess liquidity, and monitor financial performance
Experience in formulating, executing and evaluating business strategy
Experience with operating and managing a significant corporate entity along with great skills in several disciplines relevant to the work that AGSA undertakes
Active Australian NV1 Clearance required
