What’s the opportunity?
Parabilis Medicines, Inc. is seeking a highly motivated and business-oriented Corporate Attorney to join the Legal team. This is a broad, hands-on role for a Corporate Attorney who can lead core public-company and corporate matters while flexing across strategic transactions, commercial contracting, manufacturing and supply arrangements, and other legal needs as the company and its programs evolve.. The Corporate Attorney will partner closely with cross-functional teams to support corporate governance, transactional matters in R&D and across the business, compliance initiatives, intellectual property matters, and strategic business development while helping mitigate legal risk and enable business growth in a fast-paced biotechnology environment.
Key Responsibilities:
- Support corporate governance activities for a publicly traded company, including preparation of board and committee materials, resolutions, minutes, corporate records, entity management, corporate governance guidelines, committee charters, and the annual meeting and proxy statement process.
- Support compliance with U.S. securities laws, including preparation and/or review of SEC periodic and current reports (Forms 10-K, 10-Q, and 8-K), proxy statements, and registration statements, and assist with Section 16 reporting obligations, including Forms 3, 4, and 5, for officers, directors, and other insiders.
- Advise on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934, Nasdaq listing standards, Regulation FD, and the company's insider trading policy, and support the administration of trading windows and pre-clearance procedures.
- Advise on equity compensation programs and executive compensation matters, including related Section 16 and public disclosure implications, in partnership with Human Resources and Finance.
- Support public and private securities offerings, capitalization matters, and related corporate transactions, and assist with the preparation and review of earnings releases, investor presentations, and other public disclosure materials in coordination with Finance and Investor Relations.
- Draft, review, negotiate, and manage a wide variety of commercial agreements, including confidentiality agreements, master service agreements, statements of work, consulting agreements, clinical trial agreements, vendor and supplier agreements, agreements with contract development and manufacturing organizations (CDMOs) and other manufacturing and supply partners, software and SaaS agreements, collaboration and licensing agreements, material transfer agreements, and sponsored research agreements.
- Provide legal support for licensing, collaborations, partnerships, investments, acquisitions, and other strategic transactions, including due diligence, and manage relationships with U.S. and international outside counsel on cross-border transactions, clinical research, intellectual property, privacy, and local law matters.
- Advise business partners on healthcare compliance, privacy, anti-corruption, and other laws and regulations applicable to a pharmaceutical and biotechnology company.
- Partner with Business Development on the structuring, diligence, negotiation, and execution of strategic transactions, including licensing, collaboration, co-development, and other partnering arrangements, from term sheet through definitive agreements.
- Partner with Director, Contracts to develop and maintain contract templates, legal playbooks, negotiation guidelines, and scalable contracting processes.
- Help develop and deliver legal training and practical guidance for employees and business stakeholders.
- Collaborate with Finance, Research and Development, Clinical Operations, Regulatory Affairs, Technical Operations/CMC, Human Resources, Business Development, and Executive Leadership to provide business-focused legal advice that balances risk with company objectives.
- Monitor changes in applicable laws and regulations, including emerging developments in securities law and corporate governance practices, and lead or contribute to cross-functional initiatives and special projects supporting Parabilis's legal and operational objectives.
What you'll need to be successful:
- Juris Doctor (J.D.) from an accredited law school and active membership in good standing with at least one U.S. state bar.
- 5-10 years of legal experience, including experience at a nationally recognized law firm and/or an in-house legal department.
- Strong experience with U.S. securities laws and SEC and Nasdaq reporting requirements, with hands-on experience preparing or supporting SEC filings and public company disclosure obligations.
- Experience drafting and negotiating complex commercial agreements, including agreements supporting research, development, manufacturing, supply, and other operational functions, and advising on general corporate law and governance matters.
- Experience supporting biotechnology, pharmaceutical, life sciences, or healthcare companies strongly preferred.
- Familiarity with drug development, clinical research, FDA regulatory frameworks, healthcare compliance, and data privacy laws preferred.
- Experience with licensing, collaborations, strategic transactions, intellectual property matters, and publicly traded life sciences companies preferred.
- Experience managing legal matters across multiple jurisdictions and coordinating with outside counsel.
- Excellent written and verbal communication, negotiation, analytical, organizational, and project management skills.
- Strong business judgment, high ethical standards, attention to detail, and the ability to simplify complex legal issues for business stakeholders.
- Proven ability to independently lead legal matters and negotiations, advise senior stakeholders, manage multiple priorities, and operate effectively in a fast-paced, collaborative, and growth-oriented environment.

The base salary range for this position is $250,000-$285,000, per year, depending on experience, qualifications, and internal practices. Parabilis’s total compensation package also includes an annual target bonus, equity, and a comprehensive suite of competitive benefits designed to support our employees’ overall well-being.
