Description
To assist the company secretary in maintaining high standards of corporate governance across the Jersey Electricity Group. The role is responsible for effectively coordinating activities related to the Board and its Committees. It also includes maintaining statutory and governance records, regulatory filings, and processes related to corporate adherence.
Working with Board members, senior leaders, and external partners, the postholder will ensure governance activities are completed accurately and efficiently. They will follow legal, regulatory, and corporate requirements.
Key Responsibilities
Governance and Compliance:
- Support the delivery and improvement of the Group's corporate governance framework, policies and processes.
- Maintain governance activities in alignment with relevant legislation, regulations, policies and internal procedures.
- Maintain statutory registers, governance records and corporate documentation, ensuring information is accurate, current and readily accessible.
- Coordinate regulatory and statutory filings, supporting compliance with all applicable obligations.
- Monitor governance actions and maintain appropriate audit trails and documentation.
Board and Committee Support:
- Coordinate Board, Committee and governance meetings, including scheduling, logistics and stakeholder communications.
- Prepare, collate and distribute meeting agendas, papers and supporting documentation within agreed timescales.
- Maintain attendance records, action logs and governance calendars.
- Support the Company Secretary in delivering effective governance body and committee administration.
- Assist with the production and quality review of governance and advisory group papers to ensure consistency, accuracy and professional presentation.
Stakeholder Management:
- Act as a key point of contact for governance related enquiries, providing timely guidance and support to internal and external stakeholders.
- Build effective working relationships alongside Board members, senior leadership teams, auditors, regulators, shareholders and other external partners.
- Raise complex issues appropriately while preserving a professional and solutions focused approach.
Ongoing Improvement and Projects:
- Support the development of governance reporting, performance measures and process improvements.
- Assist with governance related projects and annual activities, including the Annual General Meeting, Board evaluations, website governance content reviews and governance calendar planning.
- Contribute to improvements in governance systems, technology and ways of working.
Skills, Knowledge & Expertise
Essential:
- Sound understanding of governance principles and organisational control frameworks.
- Experience supporting Board, Committee or executive level meetings and governance processes.
- Strong organisational skills paired with the capacity to balance multiple priorities and competing deadlines.
- Excellent written and verbal communication skills.
- Exceptional attention to detail and commitment to accuracy.
- Ability to handle confidential and sensitive information with discretion and integrity.
- Strong collaborator management skills that enable building credibility and influence at all levels.
- Proficiency in Microsoft Office applications and governance related systems.
- Ability to work independently while maintaining a collaborative approach.
Desirable:
- Experience within a Company Secretariat, Regulatory Affairs, Legal, Risk Management or Corporate Administration environment.
- Knowledge of statutory filing requirements and corporate compliance obligations.
- Experience preparing reports, briefings and Board papers for senior collaborators.
- Familiarity with board portal software such as Board Intelligence, BoardPad or Diligent.
- Experience supporting governance processes within a large or complex organisation.
