Where We Need You

We are looking for a Commercial Contracts Attorney to join our Legal Consulting team. This is a variable role intended to fill a short-term need. It is anticipated that the role will end in October 2027, with the potential to extend.

What You Can Expect

As a Commercial Contracts Attorney, you will support our client’s office by managing, drafting, reviewing, and negotiating a high volume of complex commercial agreements across technology, operations, events, HR, procurement, supply chain, and other business functions. You will serve as a practical, business-oriented legal and contracts resource in a fast-paced environment, helping internal stakeholders move contracting matters forward efficiently while managing legal, privacy, AI, commercial, and operational risk.

As a Commercial Contracts Attorney, you are a commercially minded attorney who can operate as both a sophisticated contracts negotiator and a practical business partner. You are comfortable working in a dynamic league office environment where contracts move quickly, stakeholders expect clear guidance, and matters may involve emerging issues related to AI, privacy, data security, technology, and live operations. You will bring sound judgment, strong drafting and negotiation skills, an operational mindset, and the ability to help the organization adopt AI-enabled capabilities responsibly while protecting sensitive information and managing enterprise risk.

What You Will Be Doing

• Draft, review, redline, and negotiate a broad range of commercial agreements, including vendor agreements, services agreements, statements of work, procurement agreements, operational agreements, HR-related agreements, event and game day operations agreements, technology agreements, and other functional business contracts.
• Manage a high-volume contract queue while maintaining responsiveness, accuracy, and sound judgment under tight timelines.
• Partner with business, legal, procurement, privacy, security, technology, HR, events, operations, and other cross-functional stakeholders to understand business objectives and translate them into practical contractual terms.
• Negotiate software, technology, and SaaS-related agreements as needed, including provisions related to data use, confidentiality, privacy, cybersecurity, AI-enabled functionality, service levels, support, ownership, liability, indemnity, audit rights, and compliance obligations.
• Support contracts related to league office operations, game day operations, events, functional support services, supply chain, procurement, and other business operations.
• Identify, escalate, and help resolve legal, commercial, privacy, AI, and operational risks in a manner that balances risk mitigation with business practicality.
• Contribute to contracting process improvements, playbook development, template refinement, intake practices, workflow coordination, reporting, and other legal operations initiatives.
• Support AI-related contracting and governance activities, including review and negotiation of AI-specific terms, vendor AI disclosures, data usage restrictions, model training limitations, transparency obligations, IP ownership, output review, risk allocation, and compliance with internal AI policies.
• Assist with privacy and highly regulated contracting matters, including data processing, data protection, confidentiality, information security, vendor risk, and related compliance obligations.
• Maintain clear contract status updates, issue summaries, negotiation trackers, and stakeholder communications to support transparency and timely decision-making.

 

 What Will Help You Be Successful

• Familiarity with AI governance frameworks, responsible AI policies, vendor AI assessments, and contract terms addressing AI use, model training, data inputs, data outputs, explainability, auditability, and human oversight.
• Experience with data privacy and security terms, including DPAs, data processing restrictions, incident notification, confidentiality, audit rights, data retention, and cross-border data considerations.
• Prior experience supporting sports, media, entertainment, technology, events, live operations, or other deadline-driven business environments.
• Experience with contract lifecycle management systems, contract intake workflows, playbooks, reporting dashboards, contract repositories, and process optimization.
• Comfort working with senior legal, procurement, business, privacy, security, and operational stakeholders.
• Strong issue-spotting, drafting, negotiation, prioritization, and stakeholder-management skills.
• Ability to work independently, manage competing priorities, and provide practical guidance to business stakeholders with minimal supervision.
• Ability to align working hours to the East Coast time zone and travel to New York approximately 2–3 days per quarter.
• Experience supporting operational or operations-related agreements, such as event operations, game day operations, HR, procurement, supply chain, facilities, professional services, vendor services, or other functional business agreements.
• AI-centric mindset with practical understanding of how AI tools, AI-enabled vendor offerings, and AI-related contract terms affect commercial risk, data use, IP, security, and governance.

 

 

Your Educational and Professional Qualifications

• Juris Doctor degree required; active bar admission in at least one U.S. jurisdiction preferred.
• 5–10 years of commercial contracts experience, preferably including in-house, secondment, managed services, or high-volume contract support experience.
• Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements in a fast-paced, high-volume environment.
• 3–5+ years of experience working with privacy, data protection, cybersecurity, regulated contracting, or highly sensitive data environments.
• 1–2 years of experience with AI governance, responsible AI policy development, AI risk management, or negotiation of AI-specific contract provisions preferred.

 

Variable employees are not eligible for Protiviti’s annual bonus plan.

 

Variable employees are subject to a separate benefits package applicable only to variable employees. Details will be provided by the recruiter.

Starting salary is based on a full-time equivalent schedule. Placement in the range is dependent upon experience, skills and geographic work location. Below is the salary range for this job.

$113,000.00 - $181,000.00

Our annual bonus plan provides eligible employees additional cash and/or discretionary stock compensation opportunities. Below is the bonus target opportunity for this job.

The total cash range is estimated from the sum of the base salary range plus the bonus target opportunity. Below is the estimated total cash range for this job.

$126,560.00 - $202,720.00

Employees are eligible for medical, dental, and vision coverages, FSA and HSA healthcare accounts, life and accident insurance, adoption and fertility assistance, paid parental leave up to 10 weeks, and short/long term disability. We offer eligible employees a company 401(k) savings and investment plan with an employer match of 50% on the first 6% of your contributions. We provide Choice Time Off (CTO) for vacation, personal needs, and sick time. The amount of (CTO) varies based on years of service. New hires receive up to 20 days of CTO per calendar year. Protiviti also recognizes up to 11 paid holidays each calendar year.
