About the role
We are seeking a highly motivated Associate to join our Legal, Documentation & Internal Processes at RHB Malaysian Trustees Berhad (MTB). In this role, you will be responsible for supporting operational matters, including finance, legal documentation, compliance, and risk management. You will collaborate closely with internal and external stakeholders to ensure seamless business performance while assisting with covenant monitoring, due diligence, and compliance-related tasks. Additionally, you will be involved in reviewing transaction documents, managing issuers' compliance with covenants, and supporting the team in executing mandates efficiently.
What you will be doing
Support proposition squads on operational matters, including finance, legal documentation, compliance, and business development
Provide strong business support to manage risk & compliance, ISO, and operational tasks, ensuring smooth business performance
Liaise with internal and external stakeholders to ensure the efficient execution of tasks and coordination of projects
Monitor and check the covenant process, ensuring accurate key-in by Trustee Operations
Notify the Securities Commission in the event of any breach or default by issuers and manage related notifications
Attend to Bondholder requests regarding covenants and provide necessary support
Execute operational tasks requiring specialized expertise or skills, particularly in legal documentation and financial compliance
Produce necessary outputs aligned with team objectives and provide feedback on key issues faced by both customers and teams
Attend meetings with issuers, bondholders, or solicitors when issues arise, ensuring necessary documentation complies with the CMSA
Review and vet transaction documents provided by solicitors, ensuring alignment with legal regulations and internal standards
Enforce actions against defaulting issuers and collaborate with solicitors and bondholders on recovery actions
Monitor covenant compliance during the tenure of bonds/sukuk, ensuring compliance with minimum balance requirements
Coordinate with the finance team to ensure minimum required balances in designated accounts are met
Conduct AML reviews, including CDD, EDD, and PEP checks as required
Perform reasonable checks on issuers engaged with third-party trustees or MTB as Security Trustees
Oversee financial and accounting matters of the company and manage the establishment of designated accounts as per the PTC Document/Assignment of Charge Document
Attend important meetings, such as preliminary meetings, client meetings, MANCO & BOD meetings, and ensure follow-up on required actions
Ensure all necessary forms, resolutions, and documentation are prepared and executed within stipulated timelines
Manage the invoice process and record payments made by clients, ensuring timely processing and submission of required documents
Take action against defaulting issuers and work closely with solicitors and bondholders on recovery actions
What we're looking for
Minimum 1-3 years of working experience in investment banking, legal, or auditing
Strong planning, organizational, and analytical skills
Passion for and interest in capital markets, particularly in Malaysia
Knowledge of capital market rules, regulations, and compliance requirements
Strong attention to detail and ability to manage complex legal and financial processes
Ability to collaborate effectively with diverse teams and stakeholders
