Head of Legal US - Energy
About The Role
Ferrovial Energy is seeking a Head of Legal US to lead the legal function for its renewable energy division in the United States. This position will provide strategic legal guidance across project development, M&A, project finance and tax equity transactions, construction, operations, and divestment activities. The successful candidate will lead a team of three legal professionals and will be based in Austin, Texas.
Key Responsibilities
- Lead and oversee the legal function for Ferrovial Energy's operations in the United States, acting as a trusted advisor on strategic legal, commercial, regulatory and risk management matters.
- Support the growth of the business through M&A transactions, project acquisitions and divestments, joint ventures, public-private partnerships (PPPs) and other strategic initiatives.
- Assess legal and commercial risks associated with investments, transactions and projects, providing practical and business-oriented solutions.
- Provide legal leadership throughout the lifecycle of renewable energy and energy infrastructure projects, including development, financing, construction, operations and asset management.
- Oversee the negotiation and management of key project agreements, including EPC contracts, power purchase agreements, financing agreements, joint ventures and other strategic commercial arrangements, as well as tax equity transactions, working closely with lenders, investors and financial advisors.
- Manage relationships with external legal counsel and coordinate legal support.
- Collaborate closely with in-house teams (such as business development, finance, procurement, construction, operations and technical teams), as well as the Legal Department at Ferrovial headquarters.
Qualifications
Education and Required Experience
- Juris Doctor (J.D.) required.
- Active membership in good standing with a US State Bar.
- Minimum 10 years of legal experience, including significant experience within the renewable energy, energy infrastructure, construction or broader infrastructure sectors.
- Strong experience advising on project development, M&A transactions, joint ventures, project finance, tax incentive structures and EPC contracting.
- Experience gained in a leading law firm or in-house legal department.
- Experience with permitting, interconnection, energy regulation, real estate matters and renewable energy tax incentive structures is considered a strong asset.

- Strong business and commercial acumen, with accountability and integrity.
- Excellent analytical, problem-solving and decision-making skills, when managing complex matters.
- Outstanding drafting, negotiation and stakeholder management capabilities.
- Excellent written and verbal communication skills.
- Ability to work effectively in fast-paced, multidisciplinary and multicultural environments.
- Spanish language skills are considered a plus.
- Availability to travel as required.
