Corporate Governance - Operations Specialist

Role Summary

We are looking for a Corporate Governance Operations Specialist to support corporate governance, entity management, regulatory documentation, and due diligence activities for a global client. The ideal candidate will have experience working with corporate records, legal/entity management, compliance documentation, regulatory filings, or corporate secretarial processes.

Responsibilities and Duties

• Order, track, and maintain good-standing certificates, incumbency certificates, trade registrations, and other corporate certificates
• Assemble and organize documents required for due diligence (DDQ) requests
• Retrieve and provide non-confidential corporate documents based on specific requests
• Perform data entry and maintain corporate/entity information in internal systems, including the Gems platform
• Process and update director and officer changes and related corporate information. Prepare and pre-populate regulatory and corporate forms across different jurisdictions
• Coordinate background check logistics and track completion.
• Maintain appropriate electronic filing, folder structures, and document repositories.
• Track governance-related deadlines, including annual reports and franchise tax requirements, as applicable.
• Support broader corporate governance, regulatory, and entity management processes

Required Skills/Abilities

• 3–5 years of relevant experience in corporate governance, corporate secretarial services, entity management, legal operations, compliance, or a similar function.
• Good understanding of corporate records, regulatory documentation, and entity management processes.
• Experience working with legal, compliance, finance, or corporate administration teams is preferred.
• Strong document management and data-entry skills. Excellent attention to detail and accuracy.
• Ability to manage multiple requests, deadlines, and priorities independently.
• Strong organizational and follow-up skills. Proficiency in Microsoft Office, particularly Excel and Word.
• Ability to work with internal systems/databases and learn new platforms quickly.

Education and Experience

• • Bachelor of Laws

   

  3 to 5 years of experience of:

  • Experience supporting global entities or multiple jurisdictions
  • Exposure to due diligence, KYC, corporate filings, or regulatory compliance.
  • Experience with corporate/entity management platforms
  • Experience working with legal or professional services organizations

Pay Range

MXN $240,000.00 - MXN $300,000.00 /Yr.
