About the Role

To serve as a member of L&BO team, providing specialized legal support across IAMC's connected transaction ecosystem and facilitate business needs. This role will manage the governance process of connected transactions in compliance with regulatory requirement and AIA Group standards.

Roles and Responsibilities:

1. Connected Party List

  • Maintain and timely update the connected party list, collect connected party information required by laws and regulations.
  • Duly manage the internal approval of the Connected Party List by CTM Office.
  • Liaise with AIA Group Legal/CoSec team and AIA Life Board Office for AIA connected party list and relevant information.
  • Duly report Connected Party List to regulator and all relevant stakeholders.

2. Connected Transaction Management:

  • Optimize and enhance connected transaction management policies and procedures in alignment with evolving laws and regulations.
  • Collaborate with all business functions, including Investment, Finance, Compliance and in day-to-day process management of connected transactions.
  • Organize, arrange CTM Office meetings, and prepare documents to be submitted to CTM Office, Board Connected Transaction Management Committee as well as Board Meetings.
  • Prepare and manage the submission of regular regulatory reports and filings.
  • Prepare and manage the information disclosure regarding connected transactions as required by regulation.

3. CTM System Management:

  • Responsible for the construction, management, optimization and daily maintenance of connected transaction system required by regulation.
  • Optimize the CTM internal approval process in OA system and automate the CTM procedures as necessary.

4. Regulatory Liaison re CTM matters:

  • Work closely with investment team and assist the consultation with regulators and associations on connected transaction related subject matters.
  • Facilitate the liaison and communication with regulators, associations/governmental agencies regarding CTM matters.
  • Take lead in responding/preparing for any regulatory inquiries and inspections on CTM matters.

5. Other tasks designate by Head of Legal/Board Secretary

Minimum Job Requirements:

  • Degree in law.
  • At minimum 5-8 years working experience.
  • Experience of connected transaction management in insurance asset management company or insurance company is required.
  • In-depth knowledge of local business standards, best practices, external regulations and legal risk management, with a special focus on insurance fund investment or investment management industry.
  • Proficiency in spoken and written English in order to effectively communicate with multiple stakeholders.
  • Accountable, efficient, detail oriented, good team player and willing to explore new area.
