Overview
This role will assist in furthering the company’s North American business strategies through mergers and acquisitions. The Director M&A heads the entire M&A department and oversees all activities of all junior personnel. The Director M&A performs functions with a focus on delivering value to the business through integration readiness assessments, developing integration strategies, target due diligence, and post-close integration management. The Director M&A is an integral part of the department and helps in shaping the departmental culture and growing departmental performance.
The Director M&A’s duties encompass the entire merger and acquisition life-cycle with a strong mix of operational and strategic aspects across workforce planning, learning and development, talent management, performance management, organizational change, onboarding, engagement, and reward.

Duties and Responsibilities

Evaluate trends and integrity of Target’s financial statements to form a sound basis for the development of our investment model.
Plays a strategic role in leading, planning, and providing support for due diligence activities across all functional areas of any transaction inclusive of commercial, financial, products, operations, technology, sales and marketing.
Assist with modeling and financial analysis of impending and on-going transactions. The Director M&A also refines and completes market research and strategic fit analyses previously
Stay abreast of IFRS and GAAP pronouncements relevant to M&A. LiaseLiaise with UK Group accounting regarding the implementation of such policies within North America.
Collaborate with business units and functional teams to build strong business cases that align with company objectives and are inclusive of synergistic opportunities and realistic cost forecasts.
Significant emphasis on building robust financial valuation models reflecting a detailed business case in order to assess the value creation potential of acquisition, venture or divestment proposals.
Coordinate the creation of thorough post-acquisition reviews. Evaluating the success or failure of each acquisition with an emphasis on taking best practices and lessons learned forward.
Support new acquisitions throughout their integration and transition to RNA systems and processes.
Track and coordinate the calculation and settlement of deferred consideration payments.
In certain situations, the role may require hands-on direction / management of acquired Companies’ financial accounting and reporting functions.
Candidate Requirements
Experience
8-10 years - M & A, Finance and/or senior level accounting experience – Required
Some legal exposure / experience is preferred but not required.
Proficient deal analysis, negotiation and execution.
Extensive knowledge of accrual accounting concepts, corporate finance, and will also have experience managing a large M&A team through the entire life-cycle of a merger or acquisition transaction.

Possess advanced knowledge of Microsoft Office Suite 2007 or later, especially Word, Excel and PowerPoint. Advanced spreadsheet skills are essential.
Have knowledge of Google Suite and associated programs frequently used at Rentokil-Terminix

Travel up to 20% of the time depending on geographic location (conditions permitting).
