Job Description & Summary

PwC's Deals practice helps clients with every stage of the deal lifecycle, including acquisitions, divestitures, joint ventures, restructurings, and capital markets transactions. Our teams combine financial, commercial, operational, and strategic insight. This helps clients make informed decisions, protect value, and achieve their transaction goals.

As a Senior Consultant, you will be a key member of engagement teams delivering financial due diligence and valuation services. You will analyse complex financial information, build and review valuation models, and identify key deal risks and value drivers. You will also communicate findings to clients and senior stakeholders. You will work with some autonomy, guide junior team members, and support Managers in running engagements.

Key Responsibilities

Financial Due Diligence (Buy-side / Sell-side)

  • Perform financial due diligence on target companies, covering quality of earnings, net debt and debt-like items, and working capital analysis.
  • Analyze historical financial performance, cash flows, and the sustainability of earnings.
  • Review management accounts, budgets, forecasts, and business plans.
  • Identify key risks, deal issues, and value-adjusting items. Assess their impact on price and deal structure (e.g., SPA protections).
  • Prepare clear, insightful due diligence reports and presentations for clients.
  • Participate in management meetings, Q&A sessions, and data room reviews.

Valuations

  • Build, review, and maintain valuation models using DCF, trading and transaction multiples, and other methodologies.
  • Carry out valuations for M&A, financial reporting (e.g., purchase price allocation, impairment testing), tax, and other purposes.
  • Research and select comparable companies and transactions, discount rates (WACC), and key assumptions.
  • Perform sensitivity and scenario analysis to support valuation conclusions.
  • Prepare valuation reports that meet professional, regulatory, and accounting standards (e.g., IFRS 3, IAS 36, IFRS 13).

Engagement Delivery and Team Leadership

  • Plan and manage workstreams day to day, ensuring quality, timeliness, and budget adherence.
  • Review work prepared by Associates and Analysts and give constructive feedback.
  • Coach and mentor junior team members.
  • Liaise with clients, legal advisers, and other deal parties.
  • Escalate issues to Managers and Partners as needed.

Business Development and Firm Contribution

  • Support proposals, pitches, and credentials.
  • Build relationships with clients and internal stakeholders.
  • Contribute to firm initiatives, thought leadership, and knowledge sharing.
  • Follow PwC's quality, risk, ethics, and independence policies.

Qualifications and Experience

  • Bachelor's degree in Accounting, Finance, Economics, or a related field.
  • Professional qualification (or in progress): CFA, ASA (Business Valuation), ACCA or equivalent.
  • 3–5 years of relevant experience in transaction services, financial due diligence, valuations, corporate finance, or audit with transaction exposure in Big 4.
  • Strong grounding in financial accounting and financial statement analysis.
  • Solid experience building and reviewing financial models, including DCF and multiples-based valuations.

Skills and Competencies

  • Advanced Excel and financial modelling
  • PowerPoint and report writing
  • Data analytics tools (e.g., Alteryx, Power BI, Tableau) are a plus
  • Market databases (e.g., Capital IQ, Bloomberg, Refinitiv, Mergermarket)
  • Strong analytical and problem-solving ability
  • Excellent written and verbal communication
  • Commercial awareness and business acumen
  • Ability to work under pressure and tight deadlines
  • Attention to details with a focus on quality
  • Adaptability in a fast-paced, deal-driven environment
