Legal Counsel – Funds
We are looking for a technically strong, commercially minded funds lawyer to help shape the structures behind a business with over €4bn in assets under management.
Working within a team of eight lawyers, you will advise on a broad range of fund-related legal and regulatory matters, from the structuring and licensing of new products through to distribution across the EU and foreign jurisdictions. Beyond advisory work, you will act as a trusted partner to the business, making sure legal requirements are met without slowing the pace at which we build.
Your Mission:
- Own the legal workstream across the full lifecycle of our Private Equity funds by preparing, drafting and revising the documentation behind structuring, set-up, licensing, mergers and liquidation in compliance with Luxembourg and EU regulations.
- Coordinate the preparation and submission of approval requests to Luxembourg and foreign regulatory authorities so that Moonfare's funds can be distributed in target markets, and partner with Sales to resolve investor queries quickly and accurately.
- Draft and negotiate agreements in line with Moonfare's standards, client specifics and local regulation, while contributing to the qualitative evolution of our contract models alongside the wider group legal business line.
- Support and negotiate private equity transactions across our product range, including co-investments, secondaries and funds of funds, working closely with deal teams, external counsel and transaction counterparties.
- Contribute to the operational life of the funds through corporate resolutions, liaison with auditors on our Luxembourg vehicles, and the development and upkeep of procedures and regulatory databases.
- Track regulatory developments and analyse foreign regulation alongside local contributors, translating what changes into practical guidance for operational teams.
- Identify opportunities for process optimisation and workflow automation within the legal function, rather than letting manual work accumulate by default.
The next Moonfarian:
- You hold a postgraduate degree in business law.
- You bring at least 3 years of experience as an investment fund lawyer with strong exposure to private equity, gained in financial services, in-house or in a law firm.
- You have strong knowledge of fund regulations, including AIFMD, CSSF regulations and practices, and relevant EU directives such as MiFID II.
- You communicate excellently in English, both written and verbal. German is advantageous.
- You have an analytical and synthetic mindset, work in a highly structured way, and are comfortable dealing with ambiguity in a fast-paced environment, prioritising your workload and meeting deadlines.
- You bring exceptional project management skills and collaborate effectively with cross-functional teams.
