Overview
The role woks under the supervision of the Sr. Director, Real Estate. The Corporate Counsel, Real Estate will work closely with the Site Development professionals, operations leaders and administrative support staff and with other business functions in the organization, to provide legal, administrative and related support integral to the organization's real estate operations.
Responsibilities
- Draft, negotiate, manage and advise business teams with respect to commercial leases, SNDAs, commercial lease amendments, memorandums of lease, complex services contracts and other commercial agreements.
- Manage real estate transactions with coordination between the Site Development department and operations partners.
- Prepare various legal documents by identifying forms, formatting, developing verbiage, and proofreading for Real Estate’s review and approval.
- Maintain deadlines and generate status reports.
- Interact with the organization’s management, other internal clients and outside counsel.
- Identify and own relationships with external law firms providing specialist advice.
- Research, anticipate and provide guidance in limiting PDS’ legal risks.
- Manage external law firms in defending and prosecuting lawsuits and arbitrations.
- Develops litigation strategies.
- Advises management, and counsels various business units on legal implications of proposed actions and polices.
- Other duties as assigned by management.
Qualifications
- J.D. degree from an ABA accredited law school with bar admission and good academic record.
- 5+ years of experience in a large corporate setting (in-house preferred, but not required).
- Significant experience with commercial lease transactions and contract administration.
- Experience in drafting and reviewing commercial leases and corporate legal instruments and filing with state and federal agencies.
- Experience working in commercial, retail environment.
Preferred
- 3+ years of experiences in-house counsel for large corporate setting.
- Familiarity with Workshare Professional or similar legal document management systems.

- Ability to handle multiple transactions simultaneously.
- Keen intellectual and analytical ability coupled with the ability to think and act confidently and with precision in a fast-paced environment.
- Strong data/internet research and written and verbal communication skills.
- Ability to read, comprehend, and interpret complex and detailed documents in English.
- Proficient understanding of or familiarity with corporate entities and partnership terminology and structure.
- Problem solving skills to gather & analyze information in order to identify and resolve problems in a timely manner.
- Effective prioritization skills and use time efficiently to develop realistic action plans.
- Ability to establish rapport with employees and team members in order to create trusting relationships both within the organization and in government/regulatory agencies.
- Display judgment by willingness to make timely and accurate recommendations based on available information. Must have the ability to exercise considerable judgment and discretion.
- Evidence of the practice of a high level of confidentiality.
- Excellent computer skills in a Microsoft Windows environment (Outlook, Excel, Power Point, Access, etc.) as well as overall database management and record keeping.
- Ability to prepare comprehensive reports and represent ideas clearly and concisely, both orally and in writing.
- Must communicate clearly and persuasively in positive or negative situations in group or one-on- one settings.
- Must be able to manage multiple ongoing projects in a timely manner to meet deadlines.
- Handle confidential information with the highest degree of care.
